Business context and reporting period
The filing covers the unaudited quarter ended January 2, 2021, compared with the quarter ended December 28, 2019. Kulicke and Soffa designs, manufactures and sells semiconductor assembly equipment, tools, spare parts and services. Reportable segments are Capital Equipment and Aftermarket Products and Services (APS).
Approximately 97.5% of quarterly revenue was shipped to customers outside the United States, primarily in Asia/Pacific, and approximately 48.6% was shipped to customers in China. Capital Equipment represented 83.3% of revenue, compared with 70.9% in the prior-year quarter.

Capital Equipment revenue increased 118.0% to $223.1 million, driven principally by general semiconductor and LED demand. APS revenue increased 6.7% to $44.8 million, primarily from higher spares and services volume. Capital Equipment operating income increased to $44.9 million from $2.7 million, while APS operating income declined to $9.1 million from $10.7 million.
Net income margin was approximately 18.1%, compared with 9.3% in the prior-year quarter. The effective tax rate declined to 11.5% from 13.6%, principally due to profitability earned in lower-tax jurisdictions and releases of certain valuation allowances.
Cash, cash equivalents and short-term investments totaled $576.7 million at January 2, 2021, up $46.5 million from October 3, 2020. Cash and cash equivalents were $239.7 million and short-term investments were $337.0 million. Operating cash flow was partly offset by $4.9 million of capital expenditures, $7.4 million of dividends and $1.7 million of share repurchases.
The company had no outstanding borrowings under its $150.0 million unsecured overdraft facility. A separate bank-guarantee facility had $3.5 million outstanding. The filing indicates sufficient liquidity for at least the next twelve months, subject to business and macroeconomic conditions.
Material changes versus the prior comparable period
- Revenue growth was concentrated in Capital Equipment, particularly general semiconductor and LED applications, including consumer applications, 5G infrastructure and advanced LED displays.
- Total gross margin declined because of less favorable product mix, including lower Capital Equipment margin of 43.0% versus 45.2%.
- Operating expenses increased 18.4%. SG&A rose primarily from higher incentive compensation and headcount, unfavorable foreign exchange and professional expenses; R&D increased mainly from higher staff costs.
- Interest income fell 77.1% because of lower average interest rates, while interest expense declined because there was no borrowing under the overdraft facility.
- Cash provided by investing activities fell substantially from the prior year because the prior-year period included a larger net redemption of short-term investments.
- The company repurchased approximately 48,000 shares for $1.2 million and had approximately $140.9 million remaining under its $400 million repurchase authorization.
Guidance, outlook, risks and unusual items
Management expects fiscal 2021 capital expenditures of approximately $32 million to $36 million; approximately $3.7 million had been incurred through the first quarter. Planned spending includes R&D, manufacturing improvements, information-technology security, enterprise-resource-planning implementation and leasehold improvements.
Management reported that demand was consistent with or exceeded expectations for the quarter and that manufacturing locations were operating at nearly full capacity. However, visibility into future demand remains limited, and semiconductor capital-equipment demand is cyclical and seasonal.
COVID-19 had no material impact on fiscal 2021 results through the reporting date, although supply-chain availability, logistics and freight remained challenging. Management received a $1.3 million Singapore government COVID-19-related grant. Future effects could be material as the pandemic, including new strains, evolves.
Key risks include semiconductor-industry cyclicality, customer and geographic concentration, China-related trade restrictions and tariffs, foreign-exchange volatility, supply-chain dependence on subcontractors and sole-source suppliers, customer credit risk, inventory obsolescence, warranty obligations and potential goodwill impairment. A 10% foreign-exchange fluctuation could affect financial position, results of operations or cash flows by approximately $2 million to $3 million.
The company had $362.7 million of inventory purchase obligations, substantially due within one year, and $13.1 million of unrecognized tax benefits, including accrued interest. On January 19, 2021, after quarter-end, the company acquired Uniqarta, Inc. for approximately $26 million in cash to expand its LED technology capabilities; purchase-price allocation was still in process.
The company declared a quarterly dividend of $0.14 per share. No material changes were reported to the risk factors in the fiscal 2020 Form 10-K. Management concluded that disclosure controls were effective and that no material changes affected internal control over financial reporting.
