XPOVIO U.S. net product revenue grew with more patients treated in earlier lines and improved net price. Lower total revenue mainly reflects the absence of Menarini’s $75.0 million one-time upfront payment recognized in 2021 and reduced Antengene milestone revenue. Product revenue less cost of sales implies an approximate 95.7% product gross margin; this does not represent company-wide operating profitability. The approximate operating margin was -90.5% and net margin -105.2%.
At December 31, 2022, cash and cash equivalents were $135.2 million and short-term investments were $142.8 million, totaling $278.0 million. Current assets were $350.2 million versus current liabilities of $65.9 million. The company reported a $16.7 million stockholders’ deficit. Long-term obligations included $170.1 million carrying value of convertible notes and a $132.7 million deferred royalty obligation. The $172.5 million principal amount of 3.00% convertible notes matures in October 2025; the filing estimates future HCR royalty obligations of approximately $204.2 million.
Material changes and significant items
- Total revenue declined despite growth in product sales, primarily because 2021 included Menarini’s upfront payment. License and other revenue in 2022 included $15.0 million of Menarini development-cost reimbursements and $7.8 million of Antengene milestone revenue.
- R&D expense fell by $12.2 million, reflecting pipeline prioritization and trial-cost timing; the comparison also includes $7.4 million of acquired in-process R&D expense in 2021. FY2022 expenses included severance-related costs, including approximately $7.5 million in R&D and $5.7 million in SG&A.
- Net loss and operating cash use increased. Financing included approximately $154.7 million net proceeds from a December private placement and $35.1 million from the ATM program. The private placement issued 31.8 million shares and warrants for up to 9.5 million additional shares at $6.36 per share. Common shares outstanding rose from 75.7 million at year-end 2021 to 113.2 million at year-end 2022.
- Management said year-end cash and investments were expected to fund current operating plans and capital requirements for at least 12 months from issuance of the financial statements. This is not an assurance of long-term funding sufficiency.
Outlook, development and risks
- Management expected 2023 XPOVIO product revenue to increase, license and other revenue to remain broadly consistent with 2022, R&D expense to remain relatively consistent, and SG&A and cost of sales to increase slightly. The filing also anticipates higher overall expenses in 2023.
- A global Phase 3 trial, EC-042, began in late 2022 to test selinexor maintenance in TP53 wild-type advanced or recurrent endometrial cancer. This follows SIENDO results that were mixed in the overall population: median PFS was 5.7 versus 3.8 months, with different statistical results under the reported analyses. An exploratory TP53 wild-type subgroup showed median PFS of 13.7 versus 3.7 months and is the basis for the new trial.
- For myelofibrosis, an early study of selinexor plus ruxolitinib reported week-24 spleen-volume response in 11 of 12 evaluable patients; management planned a pivotal front-line Phase 3 trial subject to FDA feedback. Enrollment in the separate study of single-agent selinexor in previously treated patients was temporarily paused while the program plan was optimized.
- The FDA-approved DLBCL indication remains under accelerated approval; the randomized confirmatory XPORT-DLBCL-030 study was in its Phase 2 portion. Failure to verify clinical benefit or satisfy post-approval requirements could jeopardize the indication.
- Principal risks include continued losses and need for additional financing; competition and uncertain adoption, pricing and reimbursement; clinically significant adverse effects; clinical-trial and regulatory uncertainty; dependence on third parties and a single-source supplier for API and drug-product manufacturing; and debt and HCR agreement covenants and payment obligations. The filing reports no outstanding legal claims as of year-end.
Investor facts to verify
- Track quarterly XPOVIO sales growth, patient starts, net pricing and whether earlier-line use offsets competitive pressure.
- Check actual cash burn against the stated 12-month runway, and review subsequent financing, dilution, the 2025 notes and HCR payment terms.
- Follow EC-042 design, enrollment and results, including whether the SIENDO TP53 wild-type subgroup benefit is confirmed prospectively.
- Verify progress and regulatory status of the DLBCL confirmatory study, and updates to the myelofibrosis development plan.
- Assess global partner royalties and milestones against the decline in upfront and milestone revenue, and confirm manufacturing continuity and product supply.
