Lipocine Inc. annual report, FY2023

Lipocine Inc. — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter report. Financial statements are audited and presented under U.S. GAAP; the auditor issued an unqualified opinion.

Business context

Lipocine is a clinical-stage biopharmaceutical company developing oral drug-delivery products using its Lip’ral platform. Its programs target CNS disorders, liver disease, and hormone therapy. TLANDO, its FDA-approved oral testosterone replacement therapy, was commercially licensed in the U.S. to Antares during 2023. Following Antares’ termination, Lipocine entered a replacement license agreement with Verity in January 2024; the transfer of U.S. commercial rights was completed in February 2024.

Key financial results

MetricFY2023FY2022
Revenue, net$(2.85) million$0.50 million
Research and development expense$10.18 million$8.56 million
General and administrative expense$4.90 million$4.06 million
Operating loss$(17.93) million$(12.12) million
Net loss$(16.35) million$(10.76) million

Cash, cash equivalents and marketable securities at year-end$22.04 million$32.53 million

FY2023 revenue includes a non-cash $2.96 million reversal of previously recognized minimum guaranteed royalties after Antares gave notice of termination. License revenue was approximately $110,000, principally from Spriaso. Revenue was therefore negative for the year, and a conventional revenue margin is not meaningful. Interest and investment income was $1.37 million, versus $0.57 million in 2022.

At December 31, 2023, total assets were $23.00 million, current assets $22.86 million, total liabilities $2.63 million, and stockholders’ equity $20.37 million. The company had no outstanding bank debt; its SVB loan was repaid at maturity in June 2022. The current ratio was approximately 8.7x. Cash and marketable securities declined by about $10.5 million from year-end 2022.

Changes versus FY2022

  • Net loss increased by $5.59 million, primarily reflecting the $2.96 million revenue reversal and higher operating expenses.
  • R&D expense rose $1.62 million, driven mainly by LPCN 1154 studies, TLANDO manufacturing, the LPCN 1148 Phase 2 study, and personnel costs.
  • G&A expense increased $0.84 million, including higher business-development, legal, personnel, and franchise-tax costs.
  • Operating cash use was broadly flat year over year, while the year-end cash and securities balance fell from $32.5 million to $22.0 million.

Outlook, risks and notable items

  • Management estimated existing capital resources would fund projected operations through at least March 31, 2025, based on current plans and assumptions. The company expects to need additional capital thereafter, or sooner if development activity expands; financing may be unavailable or dilutive.
  • Under the Verity agreement, Lipocine received $2.5 million on signing and $5 million upon the February 2024 transition. Further payments of $2.5 million by January 1, 2025 and $1 million by January 1, 2026 are stipulated. Lipocine may also earn up to $259 million in development and sales milestones and tiered royalties of 12%–18% on licensed-product net sales. These are contingent and not assured.
  • LPCN 1154 is the priority CNS program; the company planned a pivotal study in 2024, subject to financing, regulatory requirements, and trial outcomes. LPCN 2101 Phase 2 plans were also subject to resource prioritization. LPCN 2203 proof-of-concept planning and LPCN 1148 Phase 2 follow-up were identified as development priorities or next steps. Clinical success and timelines remain uncertain.
  • Management reported that LPCN 1148’s Phase 2 study met its primary endpoint, with reported improvements in certain clinical outcomes and tolerability comparable to placebo; end-of-study results were expected by the end of Q1 2024. These are company-reported interim findings, not proof of approval or commercial success.
  • Key risks include dependence on partners for TLANDO commercialization, competition and product uptake, clinical and regulatory failure or delay, reliance on limited third-party suppliers, intellectual-property challenges, and the need for additional capital. TLANDO carries FDA warnings, including a boxed warning relating to blood pressure, and required post-marketing studies are Verity’s responsibility.
  • The company reported effective disclosure controls and internal control over financial reporting as of December 31, 2023. The 2019 shareholder securities lawsuit was dismissed with prejudice in April 2023. The Clarus patent litigation was settled; the court had found asserted Lipocine patent claims invalid before settlement.

Most important facts for investors to verify

  • Current cash, securities, operating burn, and whether management’s March 31, 2025 funding runway remains valid after post-year-end spending and receipts.
  • Verity’s commercialization progress, actual TLANDO sales, royalty receipts, and the status of required post-marketing and pediatric studies.
  • Whether LPCN 1154’s pivotal study and other planned trials began on schedule, and whether the FDA’s requirements or trial results changed development plans.
  • Final LPCN 1148 Phase 2 results and any subsequent FDA feedback or partnering developments for LPCN 1148, LPCN 1144, and LPCN 1107.
  • Potential dilution and financing capacity: the filing says the ATM had only $5.3 million currently registered for sale under applicable Form S-3 limits at year-end 2023.
