LANDSTAR SYSTEM INC quarterly report, Q1 FY2023

Landstar System, Inc. — Q1 2023 Form 10-Q

Reporting period: Thirteen weeks ended April 1, 2023; comparisons are with the thirteen weeks ended March 26, 2022, except balance-sheet comparisons, which are with December 31, 2022. Landstar is an asset-light transportation-management provider using independent sales agents and third-party capacity providers. Results are unaudited and the company cautions that quarterly results may not indicate full-year performance.

Transportation revenue fell 27%, reflecting approximately 17% lower revenue per load and 13% fewer loads. Truck transportation revenue declined 24%; multimode revenue from rail, air and ocean fell 55%. Management attributed the comparison chiefly to softer demand and pricing pressure as capacity became more available than during the prior-year period’s supply-chain disruption. Higher commission expense as a percentage of revenue partly offset lower purchased-transportation costs. Operating income also faced pressure from lower gross profit against fixed infrastructure costs.

Cash, debt and liquidity

  • At April 1, cash and cash equivalents were $341.0 million; short-term investments were $47.2 million. Current assets were $1.354 billion and current liabilities $741.3 million. Working capital was $612.5 million and the current ratio was 1.8 to 1.
  • Long-term debt, all related to finance leases, totaled $94.0 million, including $33.8 million current maturities. Landstar had no borrowings under its $300 million revolving credit facility and reported $266.5 million available after outstanding facility letters of credit; the agreement also has an accordion feature for additional capacity.
  • Operating cash flow was $139.0 million, supported in part by the timing of receivable collections. Investing activities provided $4.3 million. Financing activities used $142.5 million, including $82.7 million in dividends paid and $15.4 million for share repurchases.
  • The quarterly dividend was $0.30 per share, versus $0.25 a year earlier. The company repurchased 89,661 shares at an average $172.13; up to 2,910,339 shares remained authorized for purchase.

Outlook, risks and other notable items

  • No specific revenue or earnings guidance is provided. Management expected approximately $51 million of operating-property purchases during the remainder of fiscal 2023, primarily replacement trailers and IT equipment, and said operating cash flow and borrowing capacity should meet expected needs.
  • Management described demand and freight pricing as weaker than in the unusually strong prior-year comparison. Typical trucking seasonality has been disrupted in recent years, and management gave no assurance when historical seasonal patterns would return.
  • Insurance exposure is a significant risk. Landstar self-insures commercial trucking claims up to $5 million per occurrence. A new excess policy effective May 1, 2023 has an $18 million aggregate deductible over its three-year term and provides up to $15 million aggregate coverage in the $5–10 million layer after the deductible. The filing cites sharply higher excess-insurance premiums and increased exposure to large claims; a hypothetical $60 million claim in the policy year ending April 30, 2024 could leave Landstar with approximately $25 million of aggregate exposure.
  • Insurance and claims expense included $1.9 million of net unfavorable prior-year claim adjustments, compared with $4.3 million a year earlier. Management warns that claim estimates may differ materially from ultimate outcomes and that litigation could affect results in a particular quarter or year, although it does not expect a material adverse effect on financial condition after recorded provisions.
  • Available-for-sale investments had $9.4 million of gross unrealized losses at April 1. Management attributed these primarily to rising interest rates, expected contractual cash flows to be collected, and recorded no income-statement losses.
  • Management reported compliance with credit covenants and effective disclosure controls, with no material change in internal control over financial reporting during the quarter. Forward-looking statements remain subject to risks including demand, capacity availability, accidents and claims, insurance markets, agent and carrier dependence, cybersecurity, regulation and geopolitical events.

Important facts for investors to verify

  • Whether freight demand, load counts and revenue per load stabilize or continue to decline, particularly in truck and multimode services.
  • How lower volumes affect operating leverage, margins and earnings as fixed costs remain in place.
  • Actual claim development, insurance pricing and coverage availability under the new excess policy, including Landstar’s exposure to catastrophic verdicts.
  • Whether receivable-collection timing drove the higher operating cash flow and how cash generation compares over subsequent quarters.
  • Progress on planned capital spending, share repurchases and dividends, and continued compliance with credit-agreement covenants.
