Service revenue of $0.7 million came from Janssen-related process performance qualification services. License revenue was zero, versus $3.3 million a year earlier, following termination of the prior Janssen collaboration. The 2024 net loss includes a $29.0 million gain on the transfer of RPGR-related nonfinancial assets; the gain is not operating revenue. Operating loss widened as expenses rose and revenue declined. R&D expense increased chiefly because Janssen reimbursements fell from $22.6 million to $0.7 million after the former collaboration ended, partly offset by lower bota-vec clinical costs.

At March 31, cash and cash equivalents were $119.2 million, restricted cash $1.1 million, and current assets $149.3 million versus current liabilities of $47.5 million (working capital of about $101.8 million). Total assets were $309.2 million, total liabilities $187.5 million, and accumulated deficit $574.7 million. The company had $75.0 million principal outstanding on its Perceptive notes; the balance-sheet carrying amount, net of discount, was $72.4 million. The notes mature August 2026, are interest-only, and carried a 15.36% annual rate at quarter-end. The company reported compliance with debt covenants.

Investing activities provided $27.3 million, mainly from the $29.0 million proceeds related to the asset transfer, offset by $1.7 million of capital expenditures. Financing activities used $1.3 million, including share-withholding tax payments, partly offset by ATM proceeds. Gross ATM share sales were $1.6 million; $98.4 million remained available under the program.

Material developments and outlook

  • Janssen paid a $50.0 million milestone in Q1 after initiation of the Phase 3 LUMEOS extension study for bota-vec. Up to $350.0 million of contingent consideration remains under the asset purchase agreement; management anticipated another $15.0 million in near-term milestones later in 2024. A further $285.0 million depends on commercial sales and manufacturing-related milestones. These payments are contingent, not assured.
  • The company agreed to manufacture and supply commercial bota-vec to Janssen under an initial four-year supply term, with an option to extend for one year. Janssen may terminate for convenience with notice and a termination fee.
  • Management estimated funding into Q1 2026, based on cash, receivables, tax incentive receivable, and expected near-term milestones; this estimate excludes the $285.0 million of later milestones and depends on assumptions that could prove wrong. In April, the company collected $19.7 million of receivables, including a $9.6 million R&D tax-credit refund and $10.1 million from Janssen. It also expected to collect another $0.8 million from Janssen. The filing describes post-collection cash as $138.9 million excluding restricted cash, or $140.0 million including restricted cash.
  • Phase 2 AQUAx2 for AAV-hAQP1 continued enrolling and dosing; the company said it aligned with FDA requirements for the trial to be considered pivotal and received UK trial authorization. Management reported positive Phase 1 AQUAx findings presented in April, including no treatment-related serious adverse events or dose-limiting toxicities and improvements in reported outcomes through Month 12. These are company-reported results, not evidence of approval or pivotal-trial success.
  • The AAV-GAD Phase 1 bridging trial for Parkinson’s disease completed dosing; management intended to discuss Phase 3 design with global regulators in the second half of 2024. The company also planned to present riboswitch platform data at an R&D Day in the second half of 2024.
  • Management expects continued operating losses and increased spending on clinical programs, research, and manufacturing. The company may need additional capital; financing may be unavailable or dilutive. It has no approved products and does not expect product-sales revenue for several years, if ever.

Risks, contingencies, and other notable items

  • Key risks include clinical or regulatory setbacks, uncertain gene-therapy safety and efficacy, manufacturing capacity and compliance, reliance on Janssen for contingent milestones and supply-related revenue, and competition.
  • Liquidity and debt risks include ongoing cash burn, high variable-rate borrowing costs, secured manufacturing facilities and other collateral, restrictive covenants, and possible dilution or unfavorable financing terms. A 1% increase in SOFR was estimated to increase annual interest expense by about $0.8 million.
  • Foreign exchange exposure is material: the company estimated a 10% unfavorable currency move would create approximately $10.0 million of additional foreign-exchange loss for the quarter. It reported no currency hedging contracts.
  • The company reported no new material commitments or contingencies and no material legal proceedings. Management concluded disclosure controls were effective; it reported no material change in internal control over financial reporting.

Investor facts to verify

  • Whether the anticipated $15.0 million of near-term Janssen milestones were achieved and collected, and the timing and conditions for remaining milestone payments.
  • Actual cash burn, receivable collections, and updated runway assumptions relative to management’s estimate through Q1 2026.
  • Progress, enrollment, safety, and regulatory feedback for AQUAx2, plus the evidentiary basis and follow-up for the reported Phase 1 results.
  • Perceptive debt interest-rate changes, covenant compliance, and any decision to draw the optional $25.0 million tranche, available before August 2, 2024.
  • Manufacturing-transfer progress and whether Janssen’s commercial development, approvals, and supply needs generate the expected milestone or supply revenue.
