MeiraGTx Holdings plc — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; filed March 15, 2024. This is an annual report, not a standalone fourth-quarter earnings report. MeiraGTx is a clinical-stage gene therapy company with no approved products and no product-sales revenue. It develops therapies for ocular, salivary-gland and neurological diseases, alongside a riboswitch gene-regulation platform and in-house manufacturing capabilities.

Cash and cash equivalents were $129.6 million at year-end; restricted cash was $1.1 million. Current assets were $159.6 million and current liabilities $67.1 million. Accounts receivable from related parties were $10.1 million. Management estimated that year-end cash, cash equivalents and related-party receivables, together with near-term Janssen payments, would fund operating and capital needs into the first quarter of 2026. That estimate depends on assumptions and excludes $285 million of specified, later-stage Janssen milestones.
At December 31, 2023, the company had $75.0 million of principal outstanding under its senior secured notes ($72.1 million net of discount), plus $3.0 million accrued interest. The notes mature August 2, 2026, are interest-only, and bore a 15.32% annual rate at year-end (10% plus one-month SOFR, subject to a floor). Manufacturing facilities in London and Shannon, certain cash and subsidiary equity secure the debt. Covenants include a $3.0 million minimum U.S. bank balance and restrictions on debt, liens, asset dispositions and distributions. A further $25 million tranche could be requested before August 2, 2024, subject to agreement terms.
Material changes and significant transactions
- Janssen RPGR asset sale: In December 2023, MeiraGTx sold and assigned RPGR-related assets to Janssen for $65 million upfront, terminated the prior collaboration, and entered a commercial-supply agreement. The company recognized a $54.2 million gain on sale and reported $36.9 million of deferred revenue associated with the combined agreements. Up to $350 million of additional contingent consideration was specified; the $50 million extension-study milestone was achieved and received in Q1 2024. Further consideration depends on development services, technology transfer, regulatory approvals and commercial sales. MeiraGTx is to manufacture commercial supply for an initial four-year term, with Janssen holding an extension option.
- Sanofi investment: Sanofi purchased 4.0 million ordinary shares for $30 million gross proceeds ($7.50 per share) in October 2023. The agreement grants Sanofi and affiliates a right of first negotiation for certain riboswitch opportunities and the Phase 2 xerostomia program.
- Equity financing and dilution: 2023 private placements raised $92 million gross ($62 million in May and $30 million from Sanofi). Ordinary shares outstanding rose to 63.6 million from 48.5 million at year-end 2022; 64.2 million were outstanding March 7, 2024.
- Research and development spending increased, including on botaretigene sparoparvovec (bota-vec), AAV-hAQP1 and manufacturing. Janssen reimbursements for collaboration research and development costs were $70.4 million in 2023, down from $72.6 million in 2022.
Outlook, management commentary and risks
- Management expects continued operating losses and significant research, clinical and manufacturing spending; the company has not established commercial product revenue or profitability. No specific revenue or earnings guidance is provided.
- The Phase 2 AQUAx2 study of AAV-hAQP1 for radiation-induced xerostomia was enrolling and dosing. Management reported alignment with the FDA that the study could be pivotal to support a potential BLA, subject to trial results and regulatory review. AAV-GAD completed dosing in a Phase 1 bridging study; the company also described ocular and preclinical programs.
- Management reported that eight children with LCA4 had received AAV-AIPL1 under the UK Specials License and that meaningful responses had been observed in all eight. This is compassionate-use experience, not evidence from a controlled pivotal trial.
- The riboswitch platform remains under development. Management described preclinical results in metabolic peptides and regulated CAR-T cells and planned an R&D presentation in the second half of 2024; these are not approved therapies or established commercial outcomes.
- Key risks include continued cash consumption and the need for future capital; uncertain availability and timing of contingent Janssen payments and supply revenue; high-cost, uncertain gene-therapy trials and regulatory pathways; manufacturing scale, quality and supply risks; variable-rate secured debt and restrictive covenants; potential dilution; and competition, reimbursement, intellectual-property, data-privacy and foreign-exchange risks.
The financial statements received an unqualified audit opinion. The auditor identified accrued clinical-trial costs and accounting for the Janssen asset-purchase and related agreements as critical audit matters. Management concluded disclosure controls and internal control over financial reporting were effective; the filing did not include an auditor attestation on internal control because the company qualified as a smaller reporting company.
Important facts for investors to verify
- Reconcile the reported cash runway into Q1 2026 with actual quarterly cash burn, capital spending, and the timing and conditions of the remaining Janssen payments.
- Track whether Janssen completes development, technology transfer, manufacturing approvals and commercial launches that trigger contingent consideration, and whether MeiraGTx meets its supply obligations.
- Review AQUAx2 enrollment, safety, efficacy and the FDA’s requirements for any pivotal filing; distinguish management’s trial expectations from achieved clinical endpoints.
- Assess the secured notes’ floating interest cost, collateral, covenant compliance and refinancing or repayment plan before the August 2026 maturity.
- Monitor dilution from share-based awards and future financing, as well as the company’s ability to fund its pipeline without relying on unearned milestones.
