Metagenomi Therapeutics, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Metagenomi is a preclinical genetic-medicines company; it had no approved products and reported no product-sales revenue. Financial statements are unaudited.
Financial performance and liquidity
- Revenue: Collaboration revenue was $11.2 million, up $2.5 million (29%) from $8.7 million. Ionis contributed $8.1 million, Moderna $2.8 million, and Affini-T $0.3 million.
- Expenses and losses: R&D expense rose 56% to $31.4 million; G&A rose 35% to $8.8 million. Total operating expenses were $40.2 million and operating loss was $29.0 million. Net loss was $25.1 million, versus $16.1 million; basic and diluted loss per share was $1.19, versus $4.74.
- Margins: The company reported an operating loss and net loss, rather than positive operating or net margins. Gross margin is not presented as a meaningful standalone measure for this collaboration-revenue business.
- Cash flow: Operating cash use was $29.9 million, compared with $21.0 million. Investing cash use was $94.7 million, primarily reflecting net purchases of marketable securities; financing provided $86.5 million, principally IPO proceeds. Cash, cash equivalents and restricted cash declined $38.0 million to $107.8 million.
- Liquidity: Cash, cash equivalents and available-for-sale securities totaled $327.4 million at March 31, 2024, including $224.8 million of marketable securities. Current assets were $335.6 million and current liabilities $70.7 million. Management estimates funding for its current plan into 2027, including support for two INDs and two additional development-candidate nominations; it cautions that assumptions may prove inaccurate.
- Debt and liabilities: The balance sheet reports no funded borrowing balance. Operating lease liabilities totaled $48.1 million ($4.4 million current and $43.7 million non-current). Deferred revenue was $68.6 million, including current and non-current amounts.
Changes, transactions and program outlook
- The February IPO issued 6.25 million shares at $15 per share and generated approximately $80.7 million net proceeds. Preferred stock converted into common stock at IPO closing. The January reorganization and 1-for-1.74692 reverse split were reflected retroactively in the statements.
- Revenue growth was driven mainly by a $4.4 million increase in Ionis collaboration revenue, partly offset by decreases of $1.5 million for Moderna and $0.4 million for Affini-T. Deferred revenue decreased $10.4 million in operating cash-flow adjustments as collaboration revenue was recognized.
- R&D expense increased by $11.3 million, principally due to employee-related costs, including higher stock compensation, and increased external research and development activity. Stock-based compensation was $5.1 million, versus $0.5 million a year earlier; the filing describes compensation associated with the reorganization and cancellation of profits interests.
- Moderna: After quarter-end, the parties mutually terminated their agreement on April 26, 2024. Metagenomi regained full development and commercialization rights to the covered base-editing and RIGS programs, but will receive no future Moderna payments. It expects to recognize $15.9 million of remaining deferred revenue in Q2 2024; a final $5.0 million of remaining performance-obligation value will be forfeited. The company is reviewing whether to advance its PH1 program.
- Pipeline milestones: Management expects to nominate a Hemophilia A development candidate in mid-2024 and present 12-month NHP durability data in the second half of 2024. It expects to move the TTR program into NHP studies in 2024 and the AGT cardiovascular program into NHP studies in late 2024 or early 2025. These are forward-looking plans, not achieved milestones.
- Management expects substantial ongoing losses and rising R&D and public-company costs. It says existing liquidity should cover at least the next 12 months and estimates runway into 2027 under its current operating plan. The filing provides no product-sales guidance.
Risks, contingencies and controls
- All programs remain preclinical; the company has not initiated IND-enabling studies or clinical development. Development, safety, regulatory, manufacturing, funding and commercialization outcomes are highly uncertain, and profitability may never be achieved.
- The termination of Moderna ends future payments from that collaboration, although rights to the covered programs returned to Metagenomi. Future collaboration revenue is expected to decrease after the Q2 recognition of the specified deferred revenue.
- Key risks include potential off-target or other safety effects of genome editing, evolving regulatory requirements, competition and intellectual-property disputes, reliance on collaborators and third parties, manufacturing and animal-model availability, and the possibility that additional capital will be needed sooner than planned.
- The company reported no currently known legal matter expected to have a material adverse effect and no material indemnification claims. Management concluded disclosure controls and procedures were effective at quarter-end; no material change in internal control over financial reporting was reported.
Important facts for investors to verify
- Whether the $327.4 million liquidity balance and projected runway into 2027 remain consistent with subsequent cash burn, program spending and updated operating plans.
- Whether the expected $15.9 million Q2 2024 Moderna-related revenue was recognized, and how the $5.0 million forfeiture and absence of future Moderna payments affect future revenue and program funding.
- Progress against Hemophilia A, TTR and AGT candidate-development and preclinical milestones, including any changes to timelines or data disclosures.
- How much of future collaboration revenue depends on Ionis and Affini-T, and whether any additional targets, options, milestones or research reimbursements become payable or are constrained.
- The effect of elevated stock-based compensation, ongoing operating cash use and potential dilution from outstanding equity plans and future financing needs.
