Operating expenses and net losses fell year over year. The company attributed lower R&D costs mainly to reduced license-related, clinical trial, and supply expenses; lower G&A reflected reduced share-based compensation and public-company costs, partly offset by higher personnel and other expenses. No revenue-based margins are meaningful.
At September 30, cash and cash equivalents were $318.2m and short-term marketable debt securities were $177.8m, totaling $496.0m. Current assets were $500.0m against current liabilities of $10.3m. Total liabilities were $10.6m; the filing reports no material borrowing debt. Management said available cash, cash equivalents, and securities should fund operating expenses and capital expenditures until 2026, based on its current operating plan.
Nine-month investing cash outflow was $142.1m, principally purchases of short-term securities; financing cash inflow was $451.3m, principally equity issuance. Cash increased by $278.7m to $318.2m. Interest income helped lift other income, while foreign-currency transaction losses partly offset it.
Material changes and capital structure
- June public offering of 9.2m Class A shares, including the fully exercised underwriter option, generated $436.7m net proceeds. The company also reported $14.6m raised through an earlier equity issuance in May.
- In July, MoonLake directed $38.9m to acquire remaining MoonLake AG treasury shares and contributed a further $275m to MoonLake AG capital reserves.
- No shares were sold under the August 2023 at-the-market agreement during Q3; it permits sales of up to $350m subject to its terms.
- At September 30, 53.6m Class A and 8.9m Class C shares were outstanding. Subsequent conversions increased Class A shares; as of November 1, 59.9m Class A and 2.5m Class C shares were outstanding. Class C shares carry votes but no economic rights.
Outlook, risks, and contingencies
- Management expects significant operating losses and expenses for at least the next four years, with spending expected to rise as SLK advances into Phase 3. Phase 3 studies in hidradenitis suppurativa (HS) and psoriatic arthritis (PsA) were expected to begin in 2024.
- After quarter-end, the company reported positive 24-week MIRA trial results in HS in October and positive top-line ARGO results in PsA in November. These are subsequent developments, not Q3-period results.
- Clinical and non-clinical research commitments not yet recognized totaled $30.6m. The Merck license may require up to €299.6m (about $317.2m at the stated exchange rate) in future milestone payments, subject to specified events. Contractual royalties are in the low-to-mid teens as a percentage of net sales.
- Key risks include clinical-trial execution and outcomes, regulatory approval, reliance on SLK and its licensor, competition, manufacturing and third-party dependence, and the need for additional capital if plans or timelines change. Management cautioned that additional funding may not be available on acceptable terms.
- Two new three-year office leases in the UK and Portugal were entered into after quarter-end. Management reported no material change to previously disclosed risk factors and no material legal proceedings. Disclosure controls were assessed as effective at September 30.
