Revenue by market was I&D $77.0 million (down 0.2%), Data Center $49.5 million (up 19.3%), and Telecom $30.6 million (down 50.1%). Data Center growth reflected stronger 400G and 800G analog product sales; Telecom weakness reflected lower carrier optical, broadband access RF/microwave, and legacy product sales.
At December 29, 2023, cash and cash equivalents were $163.6 million and short-term investments were $299.7 million, totaling $463.3 million. Long-term debt was $447.4 million carrying value, representing $450.0 million principal of 0.25% convertible notes due March 2026. Current liabilities were $102.9 million and current assets were $745.0 million. Cash declined $10.4 million during the quarter. Investing cash use was $34.8 million, including the $75.0 million cash acquisition payment, partly offset by investment maturities and sales. Capital expenditures were $4.7 million.
Material changes and notable items
- Revenue contraction and lower gross margin drove a steep decline in operating income. Management cited lower sales, acquisition-related headcount, and higher intangible amortization and depreciation as factors reducing gross profit.
- SG&A increased to $36.9 million from $32.9 million, including $8.4 million of acquisition-related professional fees and other expense versus $0.8 million a year earlier. R&D was $39.4 million, up 1.5%.
- Interest expense fell to $1.3 million from $3.1 million, primarily because the company repaid its $120.8 million term loans in August 2023. Interest income rose to $5.6 million from $3.7 million.
- On December 2, 2023, MACOM acquired assets and specified liabilities of Wolfspeed’s RF business for $75.0 million cash and 711,528 MACOM shares valued at $60.8 million. The business contributed approximately $6.2 million of quarterly revenue; its net income did not materially affect consolidated results. The purchase-price allocation remains preliminary. Transfer of the related RTP wafer fab is expected about two years after closing; the share consideration is restricted until transfer, with a 25% forfeiture provision if transfer has not occurred by the fourth anniversary.
Outlook, risks, and contingencies
Management said macroeconomic conditions continue to weigh on demand and may result in weaker near-term demand across all three markets. It gave no specific revenue or earnings guidance in this filing. The estimated annual effective tax rate for fiscal 2024 is approximately 23%, subject to discrete tax items; Q1’s effective rate was 18.0%.
Management expects cash, short-term investments, and operating cash generation to cover working-capital needs for at least the next 12 months. Risks include demand and industry conditions, foreign-exchange exposure, and valuation estimates for acquired assets and intangibles. Top ten customers represented 57% of quarterly revenue, up from 52%; one customer accounted for 13% of revenue. No material pending legal proceedings were reported, and the company reported no material change to its previously disclosed risk factors.
