Business context and reporting period
MACOM Technology Solutions Holdings, Inc. designs and manufactures analog semiconductor products for Networks, Aerospace and Defense (A&D), and Multi-market applications. This Form 10-K covers the 52-week fiscal year ended September 29, 2017; it is an annual filing, not a standalone fourth-quarter report. MACOM reported one operating segment.
In fiscal 2018, the company planned to report revenue in three revised categories: Industrial and Defense, Data Center, and Telecom.

Revenue increased 28.4%. Networks revenue rose 30.2% to $512.5 million, A&D rose 23.9% to $94.0 million, and Multi-market rose 23.4% to $92.3 million. Networks represented 73.3% of revenue. The filing reports fourth-quarter revenue of $166.4 million and gross profit of $86.9 million; quarterly continuing-operations loss was $1,000.
Gross margin fell 4.9 percentage points. Operating expenses were $343.0 million, including $148.0 million of R&D. Interest expense was $28.9 million. The $100.9 million income tax expense—despite a pretax loss—largely reflected a full valuation allowance on U.S. deferred tax assets. The company reported a full-year net loss, including a $19.1 million discontinued-operations loss.
Investing activities used $337.6 million, primarily for acquisitions and capital expenditures. Financing activities provided $73.7 million. Term-loan principal was $686.7 million; the revolving facility had $160.0 million of available capacity and no amount drawn. Management stated that cash, investments, operating cash generation, and available revolver capacity were expected to meet working-capital needs for at least 12 months.
Material changes versus the prior year
- Revenue grew, partly from acquired businesses, including AppliedMicro, acquired in January 2017, and Picometrix, acquired in August 2017. AppliedMicro contributed $110.1 million of revenue after acquisition.
- Gross margin declined, in part due to acquisition-related inventory step-up amortization and higher intangible amortization. Acquired inventory step-up costs were approximately $43.2 million in FY2017 versus $2.1 million in FY2016.
- Operating results moved from income to loss. R&D increased 37.4% to $148.0 million; selling, general and administrative expense increased 29.2% to $187.9 million, including change-in-control and acquisition transaction costs.
- Cash from operations declined by $18.2 million, while cash and equivalents fell by $202.9 million, reflecting acquisition spending and other investing uses.
- Shares issued in connection with the AppliedMicro acquisition increased the share count; the transaction included approximately $465.1 million of common stock consideration.
Outlook, commentary, risks and unusual items
- Management cited cloud data centers, optical networking, GaN technology, and active antenna applications as growth opportunities, while noting that demand and adoption may be slower or lower than expected. China carrier-side demand weakened as deployments slowed and carriers shifted from 2.5G to 10G PON.
- Management expected approximately $3.6–$4.5 million of additional FY2018 restructuring costs, primarily for facility consolidations.
- On October 27, 2017, after year-end, MACOM sold AppliedMicro’s Compute business for an equity interest in the buyer valued at approximately $36.5 million, representing less than 20% ownership.
- A pending GaN patent and licensing dispute with Infineon involved a preliminary injunction and appeals; the company said it could not reasonably estimate a possible loss and had recorded no related accrual. Trial was scheduled for February 2019.
- Key risks include customer and distributor concentration, purchase orders that can be canceled or deferred, product and market cyclicality, technology and price competition, reliance on some single-source suppliers, acquisition integration, export controls, and a substantial debt burden. Two customers each accounted for at least 10% of revenue; the top ten accounted for 52%.
- The filing disclosed that internal controls were considered effective, but the assessment excluded AppliedMicro’s pre-integration controls; that business represented approximately 11% of FY2017 consolidated revenue. The independent auditor also excluded those controls from its audit.
Important facts for investors to verify
- How much of revenue growth and future profitability depends on acquired businesses versus organic demand, particularly in cloud data centers and optical networks.
- Whether margins recover as acquisition-related inventory step-up costs and integration expenses subside, and how ongoing amortization affects reported earnings.
- The drivers and potential duration of the large tax charge, the valuation allowance, and the company’s ability to realize its substantial tax-loss carryforwards.
- Debt repayment capacity, variable-rate exposure, covenant headroom, and liquidity after acquisition spending and planned restructuring.
- Progress and financial implications of the Compute-business divestiture, the Infineon litigation, and AppliedMicro integration and financial controls.
