Material changes and significant items
- Q2 revenue growth was modest compared with the first-half increase. Life sciences companies generated $13.1 million of Q2 revenue and $26.5 million in the first half.
- The April 14 acquisition of substantially all EvinceMed assets expanded specialty-medication access and transaction automation offerings. Consideration was approximately $12.1 million: $2.0 million cash, 240,741 shares valued at $9.4 million, and $0.7 million previously paid. The preliminary allocation included $4.1 million of acquired technology and $7.9 million of goodwill.
- Management reported significant noncash expenses of $4.7 million in Q2 and $8.3 million in the first half, primarily associated with stock-based compensation and depreciation and amortization. The first-half stock-based compensation included $3.0 million related to a market-based award.
- The company authorized a share repurchase program of up to $20 million. It repurchased 12,868 shares for $321,054 through June 30. The filing also reports additional post-quarter repurchases through August 8.
- Key customer indicators: top-20 pharmaceutical manufacturer customer penetration was 95%, up from 85%; net revenue retention was 113%, down from 170%; and top-20 manufacturers contributed 71% of trailing-12-month revenue, versus 77%. Management attributed the prior-year retention comparison partly to pandemic-driven shifts in customer marketing spend.
Outlook, risks, and contingencies
Management expected revenue to grow during the balance of 2022, citing clients secured in the first half and anticipated additions; it expected gross margin to remain relatively constant. It expected second-half operating expenses to be marginally higher than the first-half period, and compensation expense in the remaining two quarters to be only marginally higher than the amount recognized through June 30. These are expectations, not formal numerical guidance. Management said existing cash and operating cash generation should fund current operations and planned growth for at least 12 months; additional financing may be sought for acquisitions, strategic relationships, capital expenditures, or working capital.
Risks highlighted include dependence on pharmaceutical and biotech customers and electronic prescription/EHR partners, including a risk that a partner relationship could be terminated; changes in healthcare spending or regulation; customer concentration; execution and integration risks from acquisitions and growth; competition; cybersecurity and network reliability; and international and foreign-currency exposure. The company said COVID-19 had no material net impact on its financial statements in the first half of 2022, but its ultimate effects remained uncertain. It reported no material pending legal proceedings and no off-balance-sheet arrangements. Disclosure controls were considered effective at the reasonable-assurance level; no material change in internal control was reported.
Important facts for investors to verify
- Confirm the expected pace of revenue growth and whether improved gross margin can be sustained as solution and channel mix changes.
- Track operating-expense growth, especially stock-based compensation, and its effect on profitability and dilution.
- Assess customer and distribution-partner concentration, retention trends, and the commercial contribution and integration progress of EvinceMed.
- Review cash conversion and working-capital movements; first-half operating cash flow benefited from receivable collections despite the net loss.
- Reconcile the filing’s share counts: the balance sheet reports 18,174,182 shares issued and outstanding at June 30, while the equity statement reports 18,187,050 common shares, alongside 12,868 treasury shares. Verify the correct outstanding-share figure and subsequent repurchase totals.
