Revenue rose 8.4%, led by Interactive growth and stronger food, beverage and hotel revenue. Gaming revenue was $5,201.7 million; food, beverage, hotel and other revenue was $1,200.0 million. Net income fell 47%, while operating expenses increased 12% to $5,427.7 million. Reported net income included a $46.4 million income tax benefit, including a $113.4 million valuation-allowance release. Interest expense, net, increased to $758.2 million from $562.8 million.

Adjusted EBITDA margin was 28.0%, versus 26.1%; Adjusted EBITDAR margin was 30.3%, versus 33.8%. These are non-GAAP measures. Lease-accounting changes materially shifted expense between rent, depreciation and interest, affecting year-over-year comparisons; Adjusted EBITDAR excludes rent and is presented as a valuation metric, not as a substitute for GAAP results.

At year-end, cash and cash equivalents were $1,624.0 million and total current assets were $2,013.4 million, against current liabilities of $1,158.7 million. Total debt principal was approximately $2.8 billion, including $1.5 billion under the amended credit facilities; $977.5 million of revolving capacity was available. The company reported compliance with its debt covenants and no debt maturities before 2026. Annual payments to REIT landlords were $925.0 million in 2022; minimum 2023 rent under the Triple Net Leases was expected to be $863.6 million. Lease obligations are significant in addition to debt.

Material changes versus FY 2021

  • Interactive revenue increased 53.2% to $663.1 million, but segment Adjusted EBITDAR loss widened to $74.9 million from $35.4 million, reflecting launches, marketing, payroll and technology-platform investment.
  • Revenue increased in Northeast, West and Midwest, while South revenue declined slightly. South and Midwest Adjusted EBITDAR margins fell 270 and 220 basis points, respectively; Northeast margin fell 190 basis points.
  • Impairment charges totaled $118.2 million, principally involving Greektown goodwill and gaming-license assets and the PENN National Race Course gaming license. No impairment losses were reported for 2021.
  • Cash used in investing activities declined to $258.6 million, largely because 2021 included theScore acquisition. Financing activities used $853.0 million, including $601.1 million of share repurchases.
  • In May 2022 PENN refinanced its credit facilities. Lease amendments changed lease classifications, increased recorded right-of-use assets and liabilities, and materially affected the presentation of rent, depreciation and interest expense.

Outlook, commentary and risks

Management said operating cash flow, cash on hand and available credit were expected to meet foreseeable lease, debt-service, capital-expenditure and working-capital needs, while noting that results depend on economic, competitive and other factors outside its control. Planned 2023 capital expenditures were approximately $413 million. The filing does not provide a specific consolidated revenue or Adjusted EBITDAR forecast.

After year-end, PENN completed its acquisition of the remaining Barstool shares for approximately $388 million, using about $315 million of cash and issuing 2,442,809 common shares. It also executed revised GLPI lease arrangements effective January 1, 2023. GLPI agreed to fund, subject to conditions and approvals, up to $225 million for the Aurora project and up to $350 million in aggregate for other specified projects. These projects require regulatory and other government approvals, and the lease modifications’ financial-statement impact was still being assessed when the filing was issued.

Principal risks include discretionary-spending weakness, inflation and labor costs, intense casino and online-betting competition, dependence on major regional properties, substantial debt and fixed lease payments, online-sportsbook execution and wagering risk, regulatory and tax changes, cyber and third-party technology risks, and weather or other disruptions. Louisiana, Ohio and Missouri accounted for 14.9%, 13.1% and 9.5% of 2022 revenue, respectively. Management did not expect ordinary-course legal proceedings to have a material adverse effect. The auditor issued unqualified opinions on the financial statements and internal control over financial reporting.

Most important facts for investors to verify

  • How much of the Interactive segment’s growth can translate into improved profitability, given its widening Adjusted EBITDAR loss and ongoing platform investment.
  • The effects of the 2023 GLPI lease restructuring on rent, lease liabilities, financing obligations and future cash commitments; the filing says the accounting impact may be material.
  • Whether operating cash flow can cover high lease obligations, debt service and planned capital spending, particularly under weaker consumer or regional-market conditions.
  • Progress, cost, approvals and expected returns for the Aurora, Joliet, Columbus and M Resort development projects, and integration of theScore and Barstool.
  • Underlying earnings quality: distinguish operating performance from the tax valuation-allowance release, impairment charges, equity-security losses and lease-accounting reclassification effects.
