Playtika Holding Corp. annual report, FY2022

Playtika Holding Corp. — FY2022 Form 10-K

Reporting period: Fiscal year ended December 31, 2022. This filing reports annual results; it does not provide a clear standalone fourth-quarter income statement or cash-flow comparison.

Business context

Playtika develops and operates free-to-play mobile games, monetizing primarily through optional in-game purchases. Its portfolio included 20 games, 11 actively managed and promoted; the top 10 generated 98.1% of revenue, and Slotomania and Bingo Blitz together accounted for approximately half. The company continued its acquisition-led strategy, acquiring JustPlay in 2022 and completing its purchase of Reworks’ remaining shares.

Financial and operating performance

Operating income$471.4 million$562.2 million
Net income$275.3 million$308.5 million

Operating cash flow$493.7 million$551.7 million

Revenue increased $32.5 million, but management said revenue would have declined absent Reworks’ contribution: improved monetization and new content did not offset revenue recognized in 2021 amid the COVID-era activity increase. Average DAUs fell to 9.4 million from 10.4 million and MAUs to 31.4 million from 34.0 million. Average DPUs rose to 314,000 from 300,000, payer conversion increased to 3.3% from 2.9%, and ARPDAU increased to $0.76 from $0.68.

Revenue from Direct-to-Consumer platforms grew to $606.9 million from $529.0 million; third-party-platform revenue declined to $2,008.6 million from $2,054.0 million. Approximately 71.5% of 2022 revenue came through the Apple, Facebook and Google platforms. In-game purchases generated 97.9% of revenue.

Margins, liquidity and debt

Total costs and expenses rose to $2,144.1 million from $2,020.8 million. Research and development expense increased $85.6 million, including higher staffing and payroll costs and workforce-reduction severance; sales and marketing increased $22.0 million. Interest expense declined, while the company reported $107.5 million of cash interest paid.

Cash and cash equivalents were $768.7 million at year-end, compared with $1,017.0 million, plus $100.1 million in short-term bank deposits, at year-end 2021. The company reported $600 million of undrawn revolving-credit capacity and said cash, borrowing capacity and operating cash flows were expected to cover normal needs for the foreseeable future. Operating cash flow decreased by $58.0 million. Investing activities used $74.6 million; financing activities used $652.0 million, primarily reflecting the tender offer.

Outstanding debt had $2,466.8 million aggregate face value ($2,423.6 million book value), comprising the term loan and 4.250% senior notes due 2029; the $600 million revolving facility was undrawn. The term loan matures in 2028 and the revolver in 2026. The company reported a 1.36x first-priority net senior secured leverage ratio against a 6.25x covenant limit and said it was in compliance with its covenants. Its floating-rate term loan exposes it to interest-rate changes; hedges cover only part of that exposure.

Material changes, outlook and notable items

  • In October 2022, Playtika repurchased 51.8 million shares for $600 million, approximately 12.6% of shares outstanding at September 30. It does not anticipate paying cash dividends in the foreseeable future.
  • The company announced studio closures in Montreal, Los Angeles, Helsinki and London, along with other cost reductions, and reduced its workforce by approximately 10% in the fourth quarter. Related 2022 severance expense was approximately $16.4 million.
  • The board initiated a review of potential strategic alternatives in February 2022. The filing gives no assurance that the review will produce a transaction or other specific outcome and notes possible distraction, costs and uncertainty.
  • An Israel Tax Authority assessment received in the fourth quarter asserts that less 2017 income qualified for the Preferred Technology Enterprise tax treatment. Applying that position to open years could imply approximately $120 million of additional tax relative to filed or expected returns. Playtika plans to dispute the assessment; it says reserves are adequate but acknowledges the final amount could exceed them.
  • The auditor issued unqualified opinions on the financial statements and internal controls. The audit identified the Reworks asset-group impairment assessment as a critical audit matter. No impairment was recorded, but the filing says Reworks’ recoverable amount exceeded carrying value by a relatively small margin and further deterioration could result in a material impairment.
  • Other significant risks include social-casino gambling and consumer-protection litigation, including an Israeli proposed class action seeking NIS 50 million and seven arbitration demands; reliance on a concentrated set of games, paying users and distribution platforms; and political and operational exposure in Israel, Ukraine and Belarus.

Investor verification priorities

  • Track the Israel tax-assessment appeal, open tax examinations, unrecognized tax benefits and potential cash-tax effects.
  • Monitor Reworks’ performance and impairment assumptions, including any subsequent impairment charge.
  • Check developments in social-casino, gambling, consumer-protection and securities litigation, including potential liability or platform consequences.
  • Review the outcome of the strategic-alternatives process and its costs, alongside the effects of studio closures and workforce reductions.
  • Assess whether monetization gains can offset declining DAUs and MAUs, and monitor DTC growth, platform dependence and top-game concentration.
  • Evaluate cash generation, debt service and refinancing needs as variable borrowing costs change; Credit Adjusted EBITDA is a company-defined non-GAAP measure and is not equivalent to cash flow.
