Changes and management commentary

  • Revenue grew 27.0% in Q3 and 26.9% for the first nine months, principally on higher Omnipod volume and favorable channel mix. U.S. pharmacy-channel growth and customer expansion were important drivers.
  • Profitability improved substantially year over year. Management attributed the gross-margin expansion mainly to the absence of the $36.8 million Omnipod DASH PDM correction charge recorded in Q3 2022, as well as pharmacy-channel mix and manufacturing efficiencies. Higher Omnipod 5 and U.S. manufacturing costs partly offset these benefits.
  • R&D increased 28.4% in Q3 to $57.8 million; SG&A increased 28.7% to $180.7 million. Higher staffing, customer support, IT, and international-commercial investment contributed. Prior-year legal costs did not recur.
  • Related-party revenue was $112.0 million in Q3 and $318.0 million year to date, compared with $58.9 million and $162.8 million, respectively, in the prior-year periods. The distributor is associated with a director’s spouse. Four distributors each represented at least 10% of Q3 revenue; the filing reports Distributor A at 26%, B at 21%, D at 23%, and E at 11%.

Outlook, risks, and unusual items

  • Management forecast full-year 2023 gross margin of 66%–67%, with higher expected margins versus 2022 partly reflecting nonrecurrence of significant 2022 medical-device-correction costs. It expected R&D and SG&A spending to increase versus 2022.
  • Management expected strong U.S. Omnipod growth, continued international Omnipod growth, and a $26 million–$29 million full-year decline in Drug Delivery revenue due to a lower partner forecast. Omnipod 5 launches in additional European markets were planned for 2024; Omnipod GO had begun a U.S. commercial pilot, with full launch expected in 2024.
  • The company recorded $10.7 million of income during the first nine months from reducing its estimated liability for 2022 voluntary device corrections, primarily due to lower distribution costs. The remaining liability for those corrections was $2.8 million at September 30, 2023. Warranty fulfillment and correction-related costs remain relevant to margins.
  • Management cited supply-chain disruption, inflation, competitive automated insulin-delivery systems, reimbursement and market-access execution, reliance on a principal product platform, product quality and regulatory matters, international expansion, and supplier concentration among business risks. It said supply disruptions had been mitigated to date, in part by increasing inventory.
  • Other notable items: the company paid $25.1 million for Bigfoot Biomedical patent assets; entered into new manufacturing-equipment financing; and increased its revolving credit facility to $300 million. Nine-month results included $25.1 million of intangible-asset acquisition spending and $46.3 million of capital expenditures.

Important facts for investors to verify

  • Whether Omnipod customer growth and pharmacy-channel sales persist, and how distributor concentration and longer pharmacy payment terms affect revenue and working capital.
  • Whether management achieves its 66%–67% 2023 gross-margin outlook despite inflation, manufacturing scale-up, product mix, and correction-related obligations.
  • Whether the lower Drug Delivery partner forecast continues to reduce revenue and whether international growth offsets competition and distributor-order variability.
  • Debt service and dilution exposure from the $800 million 0.375% convertible notes due 2026, alongside execution and funding requirements for the Malaysia manufacturing facility.
  • The filing states there were no material changes to previously disclosed risk factors; ordinary-course legal proceedings were not expected to have a material adverse effect.
