Revenue growth came from Insurance, whose revenue rose 50% to $87.9 million, reflecting lower reinsurance ceding and higher premiums per policy. Vertical Software revenue declined 4% to $27.5 million. Cost of revenue increased 48% to $75.8 million, outpacing revenue growth and reducing gross margin. The company reported $21.5 million of total other income, including a $14.9 million gain on settling Floify contingent consideration and $12.6 million of reinsurance recoveries, partly offset by a $5.2 million estimated loss on the sale of Elite Insurance Group.

Operating cash flow included the approximately $25 million cash receipt under the Aon collaboration agreement and should not be read as solely reflecting recurring operations. Investing cash flow was $12.7 million, including $10.3 million of business-sale proceeds; financing cash flow was a $2.5 million outflow. Cash and cash equivalents were $279.1 million; another $36.8 million was restricted. Management said available cash was sufficient for operations, planned capital expenditures, working capital and debt service for at least the next 12 months.

Material changes and segment trends

  • Insurance revenue rose 50%; Vertical Software revenue fell 4%, with management citing weaker housing activity, including a 3.5% year-over-year reduction in existing home sales.
  • Segment Adjusted EBITDA was $1.1 million for Vertical Software and a loss of $2.9 million for Insurance. Consolidated Adjusted EBITDA loss improved by $5.1 million year over year, to $16.8 million.
  • Gross written premium decreased 28% to $83 million and policies in force decreased 32% to 256,000. Annualized premium per policy increased 33% to $1,948; premium retention was 90%, compared with 107%.
  • Interest expense increased to $10.8 million from $2.2 million, primarily following issuance of the 2028 notes in 2023. Those notes carry a 6.75% coupon and a reported 17.9% effective interest rate.
  • In February, Porch repurchased $8.0 million principal amount of 2026 notes for $3.0 million plus accrued interest, recognizing a $4.9 million extinguishment gain. The Floify settlement eliminated the share-price true-up obligation.

Outlook, risks and unusual items

  • No quantified revenue, earnings or cash-flow guidance is provided. Management’s liquidity assessment covers at least the next 12 months and is based on its current operating and growth plan.
  • Insurance profitability actions included selective nonrenewals, higher premiums and deductibles, coverage exclusions for certain risks, and reduced reinsurance ceding. Management reported a 71% current accident-year gross loss ratio and a 97% gross combined loss ratio.
  • Reinsurance remains a material risk. Porch terminated a Vesttoo-arranged contract after confirming collateral-related fraud allegations; HOA seized approximately $47.6 million of available collateral and is pursuing rights connected to a $300 million letter of credit and other claims. Recovery amounts and timing are uncertain, and HOA remains responsible for covered claims.
  • The new reinsurance program effective April 1, 2024 uses a 27.5% quota share and catastrophe coverage with specified attachment and limits. Reinsurance availability, cost, catastrophe exposure, and regulatory capital requirements remain important uncertainties.
  • The five-year Aon agreement included approximately $25 million in January cash payments. $8.7 million was non-refundable and recognized immediately; some remaining amounts may be refundable under specified circumstances and are recognized over the agreement term.
  • The proposed Texas reciprocal exchange and associated Porch Insurance launch remain subject to regulatory approval. The filing gives no assurance approval will be granted or on acceptable terms.
  • A TCPA-related lawsuit is pending; the company says an unfavorable outcome is reasonably possible but cannot estimate a loss range. It intends to contest the case. Other risks include housing-market weakness, inflation, severe weather, legal and regulatory changes, cybersecurity, and debt repayment.

Key facts investors should verify

  • How much of reported revenue growth and positive operating cash flow is repeatable, given changes in reinsurance ceding and the nonrecurring Aon receipt and other recoveries.
  • Whether insurance underwriting results, retention, policies in force and reinsurance costs improve sustainably under the revised program.
  • The company’s capacity to service and refinance debt, particularly the 2028 notes’ effective interest cost, and any potential dilution from convertible notes and equity awards.
  • Final sale proceeds and loss for Elite Insurance Group, expected after post-closing adjustments, and the timing and amount of any further Vesttoo-related recoveries.
  • Regulatory decisions on the reciprocal exchange, and developments in the TCPA litigation and other material contingencies.
