Quarterly product revenue rose 5% as primary storage and devices/media gains more than offset weaker secondary storage. For the nine-month period, product revenue grew 10%; service revenue declined 2% and royalty revenue declined 7%. Management attributed improved gross margins mainly to cost reductions and a more profitable product mix. Nine-month interest expense increased 29% to $19.1 million, primarily due to higher debt principal.
Financial position and liquidity
- At December 31, cash and cash equivalents were $7.5 million; restricted cash was $5.9 million. Cash, cash equivalents, and restricted cash totaled $13.4 million, down $3.4 million since March 31.
- Reported debt was $1.7 million current and $152.4 million long-term, net of unamortized issuance costs. The company had drawn $5.3 million under its PNC facility and reported $16.7 million of remaining availability, subject to facility terms and financial metrics. Stated interest rates were 12.0% on the term loan and 7.8% on the PNC facility.
- Total assets were $165.3 million and total liabilities $360.8 million; stockholders’ deficit was $195.5 million. Accounts receivable was $74.9 million and deferred revenue totaled approximately $110.0 million.
- Investing activities used $2.3 million, primarily for tooling and leasehold improvements; financing activities provided $3.9 million. Cash interest paid in the nine-month period was $15.9 million.
Material changes, outlook, and risks
- Management said cash resources and PNC borrowing availability were expected to fund operations for at least 12 months, while noting that future funding needs may require additional debt or equity financing and that acceptable financing may not be available.
- The company reported compliance with debt covenants as of the filing date. Covenants require progressive improvements in financial metrics; failure to comply could impair its ability to service obligations.
- Management concluded disclosure controls were not effective as of December 31, 2019 because of material weaknesses in internal control over financial reporting. Remediation efforts were ongoing.
- The company adopted lease accounting Topic 842 in April 2019; at December 31 it reported $11.9 million of right-of-use assets and $13.2 million of operating lease liabilities.
- No new restructuring plans were initiated in the nine-month period. The company reported $1.0 million of restructuring charges, largely adjustments to prior facility estimates.
- Financial-restatement and related activity costs were $12.7 million for the nine-month period. These costs, stock-based compensation, restructuring charges, and other exclusions contribute to the difference between GAAP and company-defined non-GAAP results.
- A securities class-action settlement was finally approved in November 2019; the $8.2 million settlement was paid by directors’ and officers’ insurers. A December 2019 SEC settlement required a $1.0 million civil penalty, which was accrued and paid. A separate patent case remained stayed; the company assessed a material adverse outcome as remote.
- Non-cancelable inventory purchase commitments were $18.3 million. The company also disclosed $118.4 million of unrecognized tax benefits, including interest and penalties; approximately $11.2 million could potentially be recognized within 12 months as statutes of limitations expire.
- No specific revenue or earnings guidance was provided. Management noted that interim results may not indicate full-year performance.
Important facts for investors to verify
- Whether operating performance and cash generation can sustain the business while servicing high-cost debt, and how much PNC availability remains usable under borrowing-base and covenant conditions.
- Progress in remediating material weaknesses in internal controls, and whether any further restatement-related costs or reporting issues arise.
- Trends in primary and secondary storage demand, service renewals, royalty revenue, and product gross margins.
- Potential cash requirements from inventory commitments, tax matters, litigation, and other contingencies, including whether covenant requirements remain satisfied.
- The comparability and assumptions behind adjusted EBITDA and other non-GAAP measures; the filing cautions that these measures are not substitutes for GAAP results or cash-flow analysis.
