Qorvo, Inc. quarterly report, Q3 FY2016

Qorvo, Inc. — Form 10-Q Summary

Reporting period: Fiscal third quarter ended January 2, 2016; nine-month results are also reported. Qorvo was formed through the RF Micro Devices–TriQuint combination, completed January 1, 2015. The prior-year comparison largely reflects RF Micro Devices alone, so year-over-year growth is not directly comparable.

Quarterly revenue growth reflected TriQuint’s inclusion, partly offset by weaker demand for smartphone cellular RF solutions and wireless infrastructure products. Segment revenue was $489.4 million for Mobile Products (MP) and $130.3 million for Infrastructure and Defense Products (IDP). Segment operating margins were 25.7% for MP, down from 32.9%, and 23.7% for IDP, up from 19.3%.

Management attributed lower consolidated margins and operating results mainly to merger-related costs, acquired-intangible amortization, stock-based compensation, average selling-price erosion, and—in MP—unfavorable yields and inventory adjustments. Product mix improvements, merger synergies, and manufacturing and sourcing savings partly offset these pressures. The quarter included $128.5 million of intangible amortization and $30.3 million of stock-based compensation in “All other” operating costs.

Liquidity, debt, and capital allocation

At January 2, 2016, cash and cash equivalents were $851.6 million and short-term investments were $173.6 million; together these totaled $1.025 billion. Working capital was approximately $1.543 billion. Cash, cash equivalents, and short-term investments included about $202.2 million held by foreign subsidiaries, which Qorvo expected to keep invested abroad.

Long-term debt was $987.9 million net of issuance costs, comprising $450 million of 6.75% notes due 2023 and $550 million of 7.00% notes due 2025. The $300 million revolving credit facility had no balance outstanding at quarter-end; Qorvo said it was in compliance with its covenants. Nine-month financing cash flow included approximately $987.8 million of net note proceeds and approximately $800 million spent repurchasing shares. The company repurchased 4.6 million shares for approximately $250 million during the quarter. A new buyback authorization permitted up to $1 billion through November 4, 2016.

Capital commitments were approximately $93.2 million, primarily for premium-filter capacity and manufacturing cost-saving projects. Management stated that existing cash, operating cash flow, and revolving credit capacity were expected to meet short- and long-term requirements, while noting that a significant demand decline or faster-than-expected growth could strain operating cash flow.

Outlook, risks, and unusual items

  • No revenue or earnings guidance was provided in the supplied filing text. Management expected merger and integration expenses to decrease in future periods.
  • Qorvo expected approximately $17.5 million of interest expense in fiscal Q4 related to the notes, partially offset by capitalized interest.
  • Demand softness in smartphones and wireless infrastructure, selling-price pressure, manufacturing yields, inventory risk, and customer concentration could affect results. Management noted signs of recovery in wireless infrastructure demand beginning in Q3.
  • Other disclosed risks include integration and synergy execution, product development and design wins, supplier and capacity dependencies, intellectual-property matters, foreign-exchange and tax exposures, and semiconductor-industry cyclicality.
  • The quarter recorded a $9.9 million income tax benefit; the nine-month period recorded $4.5 million of tax expense despite a small pretax loss. The reported effective rates were affected by geographic tax differences, valuation allowances, and other tax adjustments.
  • Qorvo reported $66.6 million of gross unrecognized tax benefits. It also disclosed ongoing ordinary-course litigation, which management did not expect to have a material adverse effect, and capitalized significant investment in capacity and cost-saving projects.

Important facts for investors to verify

  • Assess underlying organic growth and comparability after the RFMD–TriQuint combination, particularly given the acquisition-driven revenue increase.
  • Track whether gross-margin pressure, smartphone demand weakness, infrastructure recovery, yields, and inventory levels improve or worsen.
  • Review the effect of acquired-intangible amortization, stock compensation, and integration costs on reported profitability and cash generation.
  • Monitor debt service, covenant headroom, the use of note proceeds, and the pace and funding of the $1 billion repurchase authorization.
  • Evaluate the realizability of deferred tax assets and the outcomes of tax audits and uncertain tax positions.
