Uniqure N.V. quarterly report, Q3 FY2023

Business context and reporting period

uniQure N.V. is a gene-therapy company reporting unaudited U.S. GAAP results for the quarter and nine months ended September 30, 2023. Its commercial-stage asset, HEMGENIX for hemophilia B, is licensed to CSL Behring; uniQure manufactures the product and is entitled to royalties and certain milestones. Its other programs are in clinical or preclinical development.

Financial results and position

Amounts below are in U.S. dollars; financial statement amounts are in millions unless otherwise stated.

MetricQ3 2023Q3 2022Nine months 2023Nine months 2022
Revenue$1.4$1.4$9.2$3.7
Operating expenses$84.5$62.3$234.1$177.8
Loss from operations$(81.9)$(59.5)$(221.1)$(169.7)
Net loss$(89.6)$(47.9)$(235.3)$(133.6)
Net loss per share$(1.88)$(1.02)$(4.94)$(2.86)
  • Nine-month revenue included $1.3 million of HEMGENIX royalties, $6.6 million of contract manufacturing revenue, and $1.3 million of collaboration revenue. Q3 contract manufacturing revenue was $0.3 million versus $1.0 million of related costs; over nine months, revenue exceeded those costs by $1.8 million. Overall operating and net margins were negative.
  • Research and development expense rose to $172.2 million for nine months from $139.3 million; selling, general and administrative expense increased to $57.1 million from $36.8 million. R&D included $15.4 million of expense from increased contingent-consideration fair value.
  • Q3 net loss worsened by $41.7 million year over year. Higher operating expenses, $11.8 million of Q3 royalty-financing interest expense, and a much smaller foreign-currency gain than in Q3 2022 were contributing factors. Nine-month non-operating results also swung from $34.8 million of income to $15.3 million of expense, principally reflecting foreign exchange and higher interest expense.
  • Cash and cash equivalents were $229.5 million and current investment securities were $429.4 million at September 30. Including restricted cash, total cash, cash equivalents and investment securities were $662.1 million. Net cash used in operations was $96.4 million for nine months, compared with $90.4 million in 2022. Investing used $265.2 million, largely reflecting purchases of government bonds; financing generated $362.7 million, primarily from the royalty transaction.
  • Balance-sheet totals: assets $871.6 million, liabilities $602.8 million and shareholders’ equity $268.8 million. Long-term debt was $101.4 million; the Hercules facility has $100 million principal due January 2027. The separate royalty-financing liability was $383.7 million.

Material changes versus the prior comparable period

  • Nine-month revenue increased $5.4 million, mainly because HEMGENIX royalty and manufacturing revenue began in 2023; collaboration revenue declined, partly because the BMS agreements terminated in February 2023.
  • Nine-month operating expenses rose $56.4 million, led by higher R&D and SG&A. Net loss increased $101.7 million. Foreign-currency results shifted from a $42.3 million gain in 2022 to a $1.8 million loss in 2023.
  • In May 2023, uniQure received $375 million upfront under a royalty financing agreement, or $370.1 million net of transaction costs, in exchange for the lowest royalty tier on specified HEMGENIX sales. The purchaser is entitled to $693.8 million in total payments through June 2032, subject to the agreement’s terms; if the cap is not reached by then, payments may extend through 2038 and rise to as much as $843.8 million. The financing is accounted for as debt, with projected effective interest of 12.0%–13.5%.
  • The Hercules loan was amended to extend its interest-only period and maturity to January 2027. The company reported material compliance with the loan covenants at quarter-end.
  • Current investment securities increased to $429.4 million from $124.8 million at year-end 2022, as cash was invested in short-term U.S. and European government bonds.

Outlook, management commentary and risks

  • Management estimated that cash, cash equivalents and investment securities would fund operations into the second quarter of 2027 under its current operating plan and following the reorganization. The estimate depends on assumptions and may prove inaccurate; additional funding may be needed if a candidate advances to late-stage clinical development.
  • On October 5, 2023, after quarter-end, uniQure announced a reorganization expected to reduce its workforce by about 20%, discontinue more than half of its research and technology projects, and close its Lexington research laboratory. It plans to prioritize AMT-130 (Huntington’s disease), AMT-260 (epilepsy), AMT-162 (SOD1 ALS) and AMT-191 (Fabry disease). Estimated severance costs are approximately $2.3 million, with possible additional laboratory and asset impairment costs. Management expects expenses to decline following the reorganization.
  • The FDA cleared the AMT-260 investigational new drug application in August 2023. That clearance increased the probability-weighted fair value of acquisition-related contingent consideration; the first-patient milestone is $31.7 million, and additional potential milestones include $169.2 million tied to Phase III development and approvals.
  • Management described interim AMT-130 results as showing promising exploratory trends versus natural history, with a generally manageable safety profile. These are early, limited clinical data: high-dose biomarker results were variable, and the filing cautions that interim findings may change and may not predict later-stage outcomes.
  • Key risks include clinical and regulatory failure or delay, gene-therapy safety and manufacturing challenges, dependence on CSL Behring and third parties, uncertain commercialization and reimbursement, intellectual-property disputes, and the possibility that additional financing is unavailable or dilutive. The royalty financing reduces retained HEMGENIX royalty income and carries significant repayment cost; Hercules debt is secured by substantially all assets and includes restrictive covenants.

Important facts for investors to verify

  • Whether the projected cash runway to Q2 2027 remains credible after reorganization costs, ongoing cash burn and any decision to advance programs.
  • HEMGENIX sales, royalties and milestones, including the royalty rights transferred, purchaser repayment progress and conditions affecting the possible $25 million milestone.
  • Updated clinical evidence, safety and regulatory milestones for AMT-130, AMT-260, AMT-162 and AMT-191, and the effects of the program cuts on development plans.
  • The final cost and savings from the reorganization, including any Lexington facility impairment or other exit costs.
  • Debt-service and covenant requirements, contingent-consideration milestones, and the assumptions underlying the royalty-financing effective interest rate.
