Q2 profitability benefited from revenue growth and a $5.5 million gain from remeasuring the PLDA earn-out liability. Six-month net loss was driven primarily by a $66.5 million loss on extinguishment of debt and an $8.3 million loss on derivative fair-value adjustments related to the partial repurchase of the 2023 convertible notes.

At June 30, 2022, cash and cash equivalents were $171.5 million and marketable securities were $180.2 million, for total cash, cash equivalents and marketable securities of $351.6 million. Total assets were $1.11 billion and stockholders’ equity was $838.2 million.

Convertible notes had a carrying value of $49.2 million and face value of $49.4 million, all current and due in February 2023. Management stated that existing liquidity and operating cash flow should be sufficient for at least the next 12 months, including repayment of the remaining notes.

Material Changes Versus the Prior Comparable Period

  • Revenue increased 42.7% in Q2 and 41.8% for the six-month period, driven primarily by memory interface chip sales, higher Silicon IP revenue and the timing and structure of license renewals.
  • Product revenue increased 71.0% in Q2 and 63.5% for six months, reflecting continued market-share gains in memory interface chips. Product revenue represented 44% of Q2 revenue versus 37% in the prior year.
  • Royalty revenue increased 14.6% in Q2 and 10.9% for six months, but declined as a percentage of total revenue to 39.7% and 35.7%, respectively, from 49.4% and 45.6%.
  • Research and development expense increased 25.6% in Q2 and 24.3% for six months, reflecting higher headcount, consulting, engineering tools, stock compensation and other investment costs.
  • Sales, general and administrative expense increased 18.6% in Q2 and 16.3% for six months.
  • The Company repurchased $123.1 million principal amount of 2023 Notes for $199.1 million in cash and settled related note hedges and warrants for net additional cash payments. Remaining note principal declined from $172.5 million at year-end 2021 to $49.4 million.
  • Rambus acquired Hardent, Inc. on May 20, 2022, for approximately $16.1 million. The acquisition added CXL memory-interconnect technology and resulted in preliminary goodwill of $12.1 million and identified intangible assets of $5.0 million.
  • Cash and marketable securities declined by $134.0 million from December 31, 2021, primarily reflecting debt repurchases and related derivative settlements, despite positive operating cash flow and investment-security proceeds.

Guidance, Outlook, Risks and Unusual Items

Management expects product revenue to continue increasing in 2022, primarily from memory interface chips. Research and development spending is expected to remain elevated as Rambus invests in semiconductor, security and related technologies; sales, general and administrative expense is expected to remain relatively flat in the near term.

Royalty revenue is expected to fluctuate based on license renewals, new agreements, customer shipment volumes, sales prices and product mix. Contract and other revenue is expected to vary with technology-development requirements, engineering deliverables and new contracts. No specific quantitative full-year guidance is provided in the filing text.

  • Revenue concentration is significant: the top five customers represented approximately 63% of Q2 revenue and 58% of six-month revenue.
  • International customers represented approximately 44% of revenue for both Q2 and the six-month period.
  • Rambus expects near-term supply constraints affecting memory interface chips. Risks include third-party manufacturing capacity, wafer and packaging-substrate availability, component shortages, logistics disruptions and inflation.
  • COVID-19, new disease outbreaks, geopolitical conditions, global economic weakness and rising interest rates could affect demand, operations, supply chains and liquidity.
  • Licensing risks include failure to renew or expand agreements, variable customer-reported volumes, fully paid-up license conversions and the potential expiration of the Samsung license on September 30, 2023.
  • Unrecognized tax benefits totaled approximately $156.2 million, including $135.0 million related to potential South Korean withholding-tax refunds for which the Company maintains an offsetting reserve. The timing and outcome of potential settlements are uncertain.
  • Material contractual obligations totaled approximately $101.4 million, excluding lease commitments and potentially payable unrecognized tax benefits. This included $49.4 million of convertible notes due in 2023.
  • The filing reports no material pending legal proceedings and states that disclosure controls and procedures were effective as of June 30, 2022.

Important Facts for Investors to Verify

  • Confirm the timing and funding source for repayment of the remaining $49.4 million principal amount of convertible notes due in February 2023.
  • Assess whether memory interface chip growth and supply availability support management’s expectation for continued 2022 product-revenue growth.
  • Monitor customer concentration, license renewals and the potential impact of the Samsung license expiration or other fully paid-up license conversions.
  • Evaluate whether increased research and development spending produces expected CXL, memory, security and silicon-IP growth.
  • Review the final purchase-price allocation and integration results for the Hardent acquisition.
  • Track unrecognized tax benefits, South Korean refund claims and the continuing valuation allowance on U.S. deferred tax assets.
  • Consider the effects of supply-chain constraints, inflation, interest-rate changes, COVID-19 developments and broader semiconductor cyclicality on future results.
