ROCKWELL MEDICAL, INC. annual report, FY2020

Rockwell Medical, Inc. — FY2020 Form 10-K

Reporting period: Fiscal year ended December 31, 2020; comparisons are to FY2019. This is an annual filing, not a standalone fourth-quarter report.

Business context

Rockwell Medical combines a U.S. hemodialysis-concentrates business with development and commercialization of ferric pyrophosphate citrate (FPC) therapies. Concentrates generated approximately $61.1 million of FY2020 sales; Triferic (dialysate) sales were approximately $1.1 million. Triferic and Triferic AVNU are FDA-approved to replace iron and maintain hemoglobin in adults receiving hemodialysis. Triferic AVNU began commercial sales in February 2021.

Financial performance and liquidity

MetricFY2020FY2019
Net sales$62.2 million$61.3 million
Gross profit / margin$2.7 million / 4.4%$2.8 million / 4.6%
Operating loss$28.4 million$34.5 million
Net loss$30.9 million$34.1 million
Basic and diluted loss per share$0.41$0.56
Cash used in operating activities$29.6 million$27.3 million

Sales grew 1.5%, while gross profit declined $0.1 million, partly reflecting higher labor and materials costs related to COVID-19 measures. Operating expenses fell, especially general and administrative costs; the FY2019 comparison included $0.4 million of settlement expense. FY2020 other expense was $2.5 million, including $1.9 million interest expense and $0.8 million warrant-modification expense.

At year-end, cash and cash equivalents were $48.7 million and available-for-sale investments were $10.0 million; working capital was $56.7 million. Total assets were $77.7 million, total liabilities $43.6 million, and stockholders’ equity $34.2 million. The company reported $22.5 million principal outstanding on its Innovatus term loan ($20.9 million net of unamortized costs and discount); the loan bears an initial 8.75% stated rate, matures in March 2025, and is secured by substantially all company assets. Financing activities provided $63.3 million, principally from equity offerings and the loan.

Material changes and developments

  • Net loss narrowed by $3.2 million year over year, while operating cash use increased by $2.4 million.
  • Cash and investments increased from $26.0 million to $58.7 million, supported by public equity offerings, ATM sales, and debt financing. Common shares outstanding rose from 65.4 million to 93.6 million during 2020.
  • Triferic dialysate sales increased from approximately $0.5 million to $1.1 million. The filing reports $1.2 million of cumulative U.S. Triferic dialysate sales through December 31, 2020.
  • Triferic AVNU received FDA approval in March 2020. Both Triferic formulations are reimbursed within the dialysis bundled payment, not through separate add-on reimbursement.
  • Management says all material weaknesses in internal control over financial reporting identified in the prior year were remediated during 2020; management concluded controls were effective as of year-end. The auditor expressed no opinion on internal control effectiveness.

Outlook, risks, and unusual items

Management stated that available resources were expected to fund operations for at least 12 months from the March 31, 2021 filing date, but also said additional capital will be needed to sustain operations and execute its plans. No earnings or revenue guidance was provided. Planned development includes a Phase II home-infusion study in the second half of 2021, with data expected in the second half of 2022; the company expected to discuss an acute-heart-failure development path with the FDA in 2021, with a possible Phase II program in 2022.

  • Commercialization and reimbursement: Adoption of Triferic is constrained by bundled reimbursement, clinic protocol changes, administration logistics, and lack of adoption by the two largest dialysis organizations to date. The filing identifies the concentrated dialysis-provider market as a significant commercial risk.
  • Liquidity and financing: The company has a substantial accumulated deficit, recurring operating losses, and ongoing cash burn. Triferic sales did not meet a loan sales covenant at December 31, 2020; the company used a cure provision accepted by Innovatus and reported covenant compliance at year-end. Future financing may be unavailable, costly, or dilutive.
  • COVID-19 and operations: The pandemic disrupted sales and marketing, clinical work, and some manufacturing activities, and increased operating costs. Further supply, customer-access, or trial delays remain possible.
  • Concentration and supply: DaVita accounted for 50% of 2020 sales; Baxter direct sales accounted for approximately 25%. The company depends on key distribution relationships and single-source finished-drug manufacturing for Triferic.
  • Inventory and legal matters: Triferic inventory was $3.9 million gross with a $2.6 million reserve; some dialysate finished goods had expiration dates from May to September 2021. The SEC investigation remained ongoing. Securities class-action litigation was settled, and derivative litigation was settled with insurance funding. A supplier dispute seeking $3.0 million plus raw-material costs was resolved in 2020, with required obligations reported complete.
  • Other commitments: Contracted purchase obligations through December 31, 2021 were approximately $25.5 million. A qualifying Baxter refund-trigger event before December 31, 2021 could require repayment of $5.0 million of the original upfront fee, plus any paid facility fee.

Investor verification priorities

  • Track quarterly operating cash use, remaining cash runway, and the timing and terms of any additional financing.
  • Confirm Triferic and Triferic AVNU adoption, sales growth, inventory utilization before expiry, and the economics of bundled reimbursement.
  • Monitor Innovatus covenant compliance, loan terms, and potential repayment or collateral consequences.
  • Review progress and timing of the home-infusion and acute-heart-failure programs, including FDA feedback and trial results.
  • Check updates on the SEC inquiry, customer and supplier concentration, and any material changes in litigation or contingencies.
