Business context and reporting period
Roivant Sciences Ltd. is a commercial-stage biopharmaceutical company that develops and commercializes medicines through subsidiaries (“Vants”), with a pipeline focused largely on inflammation and immunology. Its sole FDA-approved product is VTAMA (tapinarof), marketed for adult plaque psoriasis. The filing is a Form 10-K for the fiscal year ended March 31, 2024—not a report for calendar 2022 Q4. Comparisons below are with the fiscal year ended March 31, 2023.
Financial performance and position
| Metric | FY2024 | FY2023 |
|---|---|---|
| Revenue, net | $124.8 million | $61.3 million |
| VTAMA product revenue, net | $75.1 million | $28.0 million |
| License, milestone and other revenue | $49.7 million | $33.3 million |
| Research and development expense | $501.7 million | $525.2 million |
| Acquired in-process R&D expense | $26.5 million | $97.7 million |
| Selling, general and administrative expense | $687.4 million | $600.5 million |
| Net income (loss) attributable to Roivant | $4.35 billion | $(1.01) billion |
| Net cash used in operating activities | $(765.3) million | $(843.4) million |
- FY2024 reported profit was dominated by the $5.35 billion gain on the December 2023 sale of Telavant; it does not represent recurring operating profitability. Operating expenses were $1.23 billion, and excluding the Telavant gain, the company remained loss-making from operations.
- VTAMA revenue grew 168% year over year, primarily from higher sales volume. Fourth-quarter fiscal 2024 VTAMA revenue was $19.3 million. License and other revenue rose mainly due to a $15 million Japan Tobacco milestone.
- Cost of revenues was $15.6 million, including $9.6 million of intangible-asset amortization. A consolidated margin is not a clear indicator of product economics given the mix of product and license revenue.
- At March 31, 2024, cash and cash equivalents were $6.54 billion; cash, cash equivalents and restricted cash totaled $6.55 billion. Management said existing cash was expected to fund committed operating expenses and capital needs for at least 12 months from issuance of the statements.
- Total reported debt, net of applicable discounts and costs, was approximately $442.6 million: $12.0 million current and $430.6 million long-term. Total liabilities were $774.0 million; total assets were $7.22 billion.
- VTAMA’s stated gross-to-net yield was 27%. The filing does not provide a comparable company-wide operating margin that isolates recurring performance.
Material changes versus the prior period
- Revenue more than doubled, with VTAMA product revenue increasing by $47.0 million.
- R&D expense declined $23.5 million, reflecting lower spending on other development and discovery programs, partly offset by increased spending on IMVT-1402 and RVT-3101 before its sale.
- SG&A increased $86.9 million, mainly from VTAMA commercialization costs and a one-time employee retention bonus program.
- Operating cash use improved by $78.1 million but remained substantial. Investing cash flow swung to $5.20 billion provided, principally from Telavant sale proceeds.
- Cash and cash equivalents increased from $1.68 billion to $6.54 billion. Roivant’s net proceeds from the Roche transaction were approximately $5.2 billion.
Outlook, commentary, risks and unusual items
- Pipeline and catalysts: The company expected an FDA decision on VTAMA for atopic dermatitis in Q4 2024; top-line Phase 2 sarcoidosis data for namilumab in Q4 2024; batoclimab trial updates in MG, CIDP and TED during the periods specified in the filing; and Phase 3 dermatomyositis data for brepocitinib in 2025. These were expectations as of the filing date, not guarantees.
- Development plans: Immunovant expected to initiate 4–5 potentially registrational IMVT-1402 studies by March 31, 2025, and trials in 10 indications by March 31, 2026. Priovant expected to begin a pivotal non-infectious uveitis program in the second half of calendar 2024.
- Spending and profitability: Management expected expenses to increase as the company advances clinical programs, supports VTAMA commercialization and pursues new assets. Roivant cautioned that sustained profitability may never be achieved.
- Dermavant debt renegotiation: In May 2024, after year-end, amendments were reported to reduce potential cash payments by more than $300 million in aggregate, with an expected reduction of about $225 million over the next three fiscal years. The amendments eliminate $176.3 million of potential fixed payments tied to VTAMA approval for atopic dermatitis and up to $141 million of commercial milestone payments, while remaining NovaQuest payments total $122.5 million. The amendments also cap certain RIPSA royalties at $6 million annually for fiscal 2025–2027. In exchange, Dermavant issued lenders shares representing about 13.2% of its equity on an as-converted basis, and Roivant committed $195 million for preferred shares with a 1.5-times liquidation preference. The credit facility maturity was extended to May 2028 and its interest rate increased from 10% to 12.25%.
- Capital returns: The board authorized repurchases of up to $1.5 billion. In April 2024, Roivant repurchased Sumitomo’s entire stake for approximately $648.4 million. This occurred after the fiscal year-end.
- Unusual expense: A $76.9 million one-time cash retention bonus program was approved; $45.5 million was recognized as expense in FY2024 and $31.0 million remained to be recognized over the applicable service period.
- Key risks: Clinical, regulatory and commercialization outcomes remain uncertain; VTAMA is the only approved product and sales growth is important to the business. Other risks include manufacturing and supplier dependence, reimbursement and drug-pricing pressure, patent challenges, significant contingent milestone and royalty obligations, Vant ownership dilution, and litigation. Genevant’s patent litigation against Moderna and Pfizer/BioNTech remained ongoing; outcomes and any recoveries are uncertain.
- Controls and audit: Ernst & Young issued unqualified opinions on the financial statements and internal control over financial reporting. Critical audit matters included clinical-trial accruals and valuation of the Datavant investment.
