Reporting period: Fiscal year ended December 31, 2020. This is an annual report, not a quarterly filing; selected fourth-quarter results are included below. Roku operates a TV streaming platform and reports Platform and Player segments.

Gross margin was approximately 45% of revenue, versus 44% in 2019. Platform gross profit was $764.6 million; Player gross profit was $43.7 million. Roku remained loss-making for the full year, though it reported fourth-quarter net income of $67.3 million on revenue of $649.9 million and gross profit of $305.5 million.

Active accounts reached 51.2 million, up from 36.9 million; streaming hours were reported at 58.7 billion, versus 37.8 billion; and trailing-twelve-month ARPU rose to $28.76 from $23.14.

Cash and cash equivalents were $1,092.8 million at year-end, compared with $515.5 million. Long-term debt had a $94.7 million carrying value ( $95.0 million principal); operating lease liabilities totaled $343.6 million. The company said available cash, operating cash flow and undrawn credit capacity should meet working-capital needs for at least 12 months. The credit facility matures in February 2023 and requires an adjusted quick ratio of at least 1.00; Roku reported compliance at year-end.

Investing activities used $81.3 million, primarily for property and equipment. Financing activities provided $509.0 million, principally from a May 2020 at-the-market share offering: 4.0 million Class A shares for $504.0 million gross proceeds ($497.2 million net). Operating cash flow benefited from noncash items, including $134.1 million of stock-based compensation, while a $196.0 million increase in receivables was a major cash use.

Changes and key developments

  • Platform revenue drove most growth, supported by advertising, content distribution and transactional revenue. The 2019 dataxu acquisition expanded Roku’s advertising capabilities; Roku rebranded the demand-side platform as OneView in 2020.
  • Player unit sales increased 28%, while average selling price declined 3%. Player revenue growth also reflected higher audio-product and accessory sales.
  • Operating expenses rose 48% to $828.5 million, including increases in research and development, sales and marketing, and general and administrative costs. Higher gross profit and lower operating loss more than offset this increase.
  • Roku added more than 14 million active accounts during 2020. TV-brand and service-operator licensing arrangements accounted for 62% of new accounts.

Outlook, risks and unusual items

No quantified 2021 revenue or earnings guidance is provided in the supplied filing text. Management expects to continue investing in platform, product development, advertising capabilities, sales and marketing, and international expansion. It expects player pricing to remain a tool for acquiring accounts, with monetization and gross profit growth increasingly dependent on the Platform segment.

  • COVID-19: Stay-at-home behavior accelerated streaming and account growth, while advertising campaigns were delayed or canceled during the second quarter. Supply disruptions increased air-freight costs, and restrictions affected some retail sales. Management said the future impact remained uncertain.
  • Streaming-hours data correction: Roku found that pause time had inadvertently been included in historical streaming-hour data. It estimated 2019 reported hours were 6.1% too high and revised year-over-year growth to 59.3%, rather than 67.8%. The error did not affect financial results or require revisions to other operating metrics; the software issue was addressed by August 2020.
  • Concentration and competition: The top three streaming services represented over 50% of platform hours. Amazon, Best Buy and Walmart together generated 69% of Player segment revenue. Roku also faces competition from large technology companies, content owners, TV brands and advertising platforms.
  • Other risks: Advertising demand and monetization, content licensing and partner renewals, data privacy and cybersecurity, reliance on contract manufacturers and sole-source components, international regulation, trade restrictions, and seasonality could affect results. Fourth-quarter revenue represented 37% of full-year revenue.
  • Contingencies and audit: Roku reported no material loss contingencies at December 31, 2020 and said pending matters were not believed reasonably likely to have a material adverse effect. It recorded $9.9 million of patent-infringement claim costs in 2019. The auditor issued unqualified opinions on the financial statements and internal controls; its critical audit matter concerned estimates of variable consideration for content distribution and branded remote-control buttons.

Investor verification priorities

  • Confirm the streaming-hours recalculation and its effect on comparisons, particularly the revised 2019 baseline.
  • Assess how much Platform growth came from advertising versus content distribution, and how effectively Roku can convert usage into revenue and gross profit.
  • Review accounts receivable growth, customer concentration, collection risk and advertising-agency payment terms.
  • Evaluate the sustainability of fourth-quarter profitability and seasonality against full-year operating losses and rising expenses.
  • Review debt covenants, lease and purchase commitments, and the dilution and proceeds from the 2020 equity offering; consider the dual-class voting structure.
