Performance changes and drivers

  • Revenue growth reflected stronger industrial and infrastructure sales: industrial revenue rose to $78.1 million from $55.2 million, while infrastructure rose to $76.2 million from $61.4 million. High-end consumer revenue fell to $47.8 million from $53.8 million.
  • Management attributed growth primarily to approximately $19 million more LoRa-enabled sales, led by pico gateways, and approximately $14 million more PON sales. Lower proximity-sensing sales, down approximately $11 million, partly offset growth.
  • High-Performance Analog Group sales increased 17% to $146.6 million; System Protection Group sales increased 23% to $55.5 million. Segment gross margins improved to 69.6% and 52.5%, respectively, from 66.4% and 50.3%.
  • Management cited higher demand, selective price increases, favorable product mix and improved margins. SG&A rose 12% and product development and engineering expense rose 5% year over year.
  • The effective tax rate increased to 17.5% from 12.0%; management primarily attributed the increase to GILTI effects associated with required capitalization of R&D costs.

Outlook, risks and unusual items

  • For Q2 FY2023, management guided to net sales of $203 million–$213 million and gross margin of 64.1%–65.5%. It cited continued uncertainty related to macroeconomic conditions and COVID-19.
  • Management described customer demand as strong and supply as tight, with suppliers near capacity. It warned that customer precautionary ordering could lead to excess inventory and weaker future demand, and that input-cost inflation may not always be passed through to customers.
  • Supply-chain and manufacturing reliance is material: the company depends on a limited number of suppliers and subcontractors, including in Taiwan, China and Malaysia. Approximately 76% of sales were to Asia-Pacific customers and 57% to China, including Hong Kong. Three customers each represented at least 10% of quarterly sales; the largest represented 18%.
  • On May 3, 2022, after quarter-end, Semtech completed the sale of its high reliability discrete diodes and assemblies business to Micross Components for approximately $30 million cash. The assets and liabilities had been classified as held for sale at May 1; the sale was not reported as discontinued operations.
  • Environmental remediation at a former California facility remains a contingency: estimated probable loss was $7.9 million–$9.4 million, with $2.1 million accrued at May 1. Management said existing legal matters were not expected to have a material aggregate adverse effect, while noting outcomes are uncertain.
  • Management said cash, operating cash generation and available credit were sufficient for liquidity needs for at least 12 months. The filing cautions that actual results may vary due to supply constraints, COVID-19, inflation, trade restrictions, geopolitical disruption, customer demand and other risks. Disclosure controls were assessed as effective; the company reported no material change in internal control over financial reporting.

Important facts for investors to verify

  • Whether the Q2 sales and margin guidance was achieved, and whether strong bookings represented end-market demand or precautionary ordering.
  • Whether supply availability, customer inventory levels and input-cost inflation affected subsequent revenue and gross margins.
  • How the post-quarter $30 million divestiture proceeds were used and what effect the disposal had on ongoing results.
  • Repurchase pace and funding relative to cash generation, debt levels and the November 2024 credit-facility maturity.
  • Developments in the $7.9 million–$9.4 million environmental loss estimate and the company’s concentrated customer and supplier exposures.
