Q3 sales increased 9.3% year over year; net income attributable to common stockholders rose about 32%. For the first nine months, sales increased 5.1% and attributable net income rose about 53%. Gross margin declined year over year in both periods, which management attributed primarily to product mix. Lower operating expenses as a proportion of sales and lower interest expense contributed to improved operating results. Nine-month results included $5.5 million of investment impairments and credit-loss reserves, compared with none in the prior-year period.
Balance sheet and liquidity
- At October 25, 2020, cash and cash equivalents were $262.3 million, versus $293.3 million at January 26, 2020.
- Long-term debt, net of issuance costs, was $183.1 million, down from $194.7 million. The revolving facility had $185 million drawn and $415 million of undrawn capacity; it matures November 7, 2024. The company reported compliance with its financial covenants.
- Cash fell $31.1 million over the nine months. Operating cash flow of $91.7 million was more than offset by investing cash use of $32.4 million and financing cash use of $90.3 million. Financing use included $66.4 million of share repurchases.
- Current assets were $447.7 million and current liabilities were $105.9 million. Foreign subsidiaries held $167.3 million of cash.
Material changes and business trends
- Q3 product-line sales were $61.6 million for Signal Integrity, $51.1 million for Wireless and Sensing, and $41.4 million for Protection. For the nine months, Signal Integrity grew to $193.1 million from $163.9 million, while Wireless and Sensing and Protection declined year over year.
- Management cited Q3 strength across end markets: high-end consumer growth from mobile proximity-sensing products, infrastructure growth from cloud and hyperscale data-center demand, and industrial growth from LoRa-enabled products. Lower broadcast sales reflected COVID-19’s effect on large events.
- For the first nine months, infrastructure sales increased to $185.1 million from $152.5 million; high-end consumer sales declined to $112.5 million from $121.1 million, and industrial sales declined to $132.9 million from $135.9 million.
- Asia-Pacific accounted for 80% of Q3 sales; China, including Hong Kong, represented 58%. Distributor sales were 82% of Q3 revenue. Three customers each represented at least 10% of Q3 sales, underscoring customer and channel concentration.
- The company repurchased 1.53 million shares for $66.4 million during the nine months; $44.2 million remained under the program at quarter-end.
Outlook, risks and unusual items
- Q4 FY2021 guidance: Net sales of $153 million to $163 million and gross margin of 60.5% to 61.6%. Management said the range reflects continuing macroeconomic and COVID-19 uncertainty and cited strong bookings and backlog entering the quarter.
- Management expected COVID-19 to continue adversely affecting results. Risks include disruptions at company facilities, foundries, subcontractors, distributors, and customers; weaker demand; and increased collection risk. The company reported that strong liquidity, bookings, and its predominantly fabless model support its ability to manage uncertainty.
- U.S. export restrictions affecting Huawei and certain affiliates may further limit shipments; management said the impact and duration were not predictable. Other disclosed risks include reliance on a limited supplier base, international exposure, product pricing and demand changes, and customer concentration.
- Investment impairments and credit-loss reserves totaled $5.5 million for the nine months: $2.7 million of increased reserves on debt securities and $2.9 million of impairments on non-marketable equity securities. The filing partly linked reserve increases to COVID-19 effects on early-stage companies.
- The company corrected immaterial prior-period share-based compensation errors in the comparative statements. The corrections reduced reported prior-period operating income and net income but had no effect on balance sheets or total operating cash flows; the company said amended prior filings were not required.
- Semtech accrued $1.2 million for environmental remediation at a former California site; its estimated probable-loss range was $6.4 million to $8.0 million, with $5.2 million already paid. Management said current legal matters were not expected to have a material adverse effect overall, while noting outcomes remain uncertain.
- The company recorded a $0.3 million reduction to beginning retained earnings upon adopting the credit-loss accounting standard. Its effective tax rate was 5.4% for the nine-month period; unrecognized tax benefits totaled $27.0 million, and tax-audit outcomes could cause volatility.

- The effect of customer, distributor, geographic, and supplier concentration on sales continuity and receivables.
- Future investment losses or credit reserves, particularly for privately held strategic investees, and any goodwill or intangible-asset impairment indicators.
- Cash generation after repurchases, debt levels and covenant headroom, and the company’s ability to fund investment and liquidity needs.
- Developments in the environmental remediation estimate, uncertain tax positions, and the corrected share-based compensation accounting.
