Total revenue includes gross physical-commodity sales, which are largely offset by cost of sales; management emphasizes operating revenue and net operating revenue as performance measures. Quarterly operating revenue gains were offset below that line by higher interest expense and compensation and other costs. Quarterly total compensation and other expenses rose 7% to $341.9 million; fixed compensation increased 33%, including elevated severance and accelerated share-based compensation. The effective tax rate was 27% for the quarter and 23% for the six-month period.
- Cash flow: Operating activities used $602.7 million in the six months, versus $2,102.0 million provided in the prior-year period. Investing activities used $28.6 million; financing activities provided $52.4 million. Cash, segregated cash and cash equivalents totaled $5,717.3 million at period-end, down $567.8 million from September 30, 2022. This cash-flow measure includes client and segregated balances and should not be treated as unrestricted corporate cash.
- Balance sheet and debt: Total assets were $21,918.9 million and stockholders’ equity was $1,247.3 million at March 31, 2023. Outstanding borrowings totaled $901.9 million, including $561.3 million under loans and $340.6 million of senior secured notes, net. The notes carry an 8.625% coupon and mature in 2025. Four committed facilities totaled $1,130.0 million, with $533.6 million outstanding.
- Liquidity and capital: Management said approximately 97% of assets were cash, financing-related balances, receivables, marketable instruments and physical inventory. All subsidiaries were in compliance with regulatory capital requirements, and the company was in compliance with credit-facility covenants. Management believes available cash, operating cash flows and borrowing capacity will meet anticipated needs for the following year.
Material changes versus prior comparable period
- Quarterly operating revenue increased $159.7 million, led by Institutional securities activity and higher interest and fee income on client balances. Interest and fee income on client balances rose to $103.4 million from $10.4 million, reflecting higher short-term rates and higher average listed-derivatives client equity.
- Interest expense on trading activities rose sharply, including the cost of fixed-income dealer activity and interest paid on client balances. Institutional interest expense increased $156.5 million in the quarter; management attributed $117.5 million of that increase to fixed-income dealer activity.
- Retail segment income fell to $4.8 million from $45.5 million in the quarter. FX/CFD revenue declined 42%, reflecting lower volatility, tighter trading ranges and reduced activity and spread capture.
- Commercial segment income increased to $102.9 million from $70.1 million, supported by higher client-balance interest and physical-contract activity. Global Payments segment income decreased to $15.9 million from $23.9 million, principally because of higher fixed expenses.
- For the six-month period, overall segment income increased 5% to $352.3 million, while quarterly segment income decreased 5% to $179.4 million. The six-month results included a $23.5 million nonrecurring gain on the CDI acquisition; prior-year results included a $6.4 million foreign-exchange antitrust settlement gain.
Outlook, risks, contingencies and unusual items
- Outlook: No quantified earnings or revenue guidance is provided. Management expects to renew or replace facilities due to expire within the next twelve months and believes it can do so. It notes that higher interest rates can support earnings, while adverse effects of inflation and market conditions may weigh on results.
- Market and liquidity risk: Results are exposed to volatility, pricing and liquidity in financial and commodity markets, interest-rate changes, client and counterparty defaults, and the need to post margin before collecting from clients. A 25-basis-point decrease in short-term rates was estimated to reduce annual net income by approximately $5.9 million. Of $561.3 million in outstanding principal debt, $561.3 million was variable-rate; $348.0 million was fixed-rate long-term debt.
- Banking and funding risk: The filing updates risks concerning bank and financial-institution failures, access to deposited funds, and reliance on credit facilities for margin calls and operations. StoneX reported no material deposits at the named institutions affected by recent banking-sector stress, but warns that future failures or tighter credit could impair liquidity.
- Vendor cybersecurity incident: ION Group, a trade-processing vendor, notified StoneX of a cyber incident on January 31, 2023. StoneX temporarily restricted certain UK clients’ listed-derivatives trading; services were restored and restrictions lifted during February. The company said it continued to assess the incident’s impact and highlighted vendor and cyber disruption risks.
- Contingency: OptionSellers-related client account receivables were $22.0 million net of collections and allowable deductions, with a $6.7 million allowance. Arbitrations and collection efforts continue; the ultimate outcomes are uncertain. Management considers a material adverse outcome remote, while noting losses could be material depending on recoveries and proceedings.
- Acquisitions and other items: The CDI acquisition generated a $23.5 million bargain-purchase gain; purchase accounting remained open. CDI contributed a net loss of $4.1 million in the quarter and net income of $5.1 million for the six months. Incomm was acquired in February 2023 for $0.2 million cash plus a contingent earn-out valued at approximately $1.3 million.
- Operating costs: The Global Payments reorganization included a $10.0 million severance charge. Total quarter severance costs were $12.1 million; accelerated share-based compensation of $3.1 million related to employee departures was also recorded.
Investor verification priorities
- Reconcile the strong increase in operating revenue with flat quarterly net operating revenue and lower quarterly net income, especially the impact of fixed-income financing costs and client interest expense.
- Assess whether client-balance interest income and Institutional securities activity remain resilient if rates, spreads, volumes or client balances change.
- Review the Retail segment’s continued exposure to volatility and the Global Payments reorganization’s expected expense and compensation effects.
- Track operating cash use, the composition and availability of cash and segregated client funds, variable-rate borrowings, and renewal or replacement of near-term-expiring facilities.
- Monitor CDI’s final purchase accounting and performance, OptionSellers recoveries and arbitrations, and any further impacts from the ION cyber incident.
