Material changes versus 2021
- Reported sales rose 13.9%, with favorable currency effects contributing 6.9 percentage points; CER growth was 7.0%.
- Gross margin increased 2.4 percentage points and business operating income margin (non-IFRS) increased from 28.4% to 30.3%.
- IFRS net income rose 34.5%; business net income increased 25.9%. Management attributes the difference between these measures partly to acquisition accounting, restructuring and unusual items.
- Operating cash flow was essentially flat. Net debt fell €3.546bn, primarily reflecting free cash flow generation.
- Sanofi distributed control of EUROAPI in May 2022, retained a 30.1% interest accounted for under the equity method, and acquired Amunix for a fixed €970m plus contingent consideration.
- Sales of products affected by generic or biosimilar competition declined by €325m on a reported basis. Non-Core Assets sales fell 9.0% CER, while Dupixent and Vaccines were major growth drivers.
Outlook, commentary, risks and unusual items
- Outlook: The filing does not provide clear consolidated 2023 financial guidance. Sanofi expected further 2023 erosion from generic competition, including Aubagio in the US from March and in Europe in Q4, and Mozobil in the US from August. It warned that the impact could represent a substantial portion of the affected products’ 2022 sales.
- Strategic ambitions: Management raised Dupixent’s peak-sales ambition to more than €13bn. It also stated an ambition for mid-to-high single-digit annual Vaccines sales growth from 2018 to 2025 and to more than double Vaccines sales by decade-end versus 2018. These are ambitions, not guaranteed outcomes.
- Unusual items: The 2022 results included €952m of Libtayo out-licensing upfront and regulatory milestone income, plus €111m of royalties and sales-related milestones. Operating income also reflected a €2.154bn impairment reversal for Eloctate-related assets following ALTUVIIIO’s FDA approval on February 22, 2023, partly offset by a €1.586bn impairment of the SAR444245 development project. Restructuring charges were €1.336bn, and other gains and losses and litigation included costs associated with Zantac litigation.
- Pricing and competition: Sanofi cited ongoing price and reimbursement pressure, including US Inflation Reduction Act provisions, US payer and PBM bargaining power, China’s volume-based procurement and reimbursement negotiations, and tightening European cost controls. Patent expiry and generic or biosimilar entry also threaten established products.
- Development and operating risks: R&D outcomes, regulatory decisions, manufacturing and supplier reliability, product safety, cybersecurity, foreign-exchange movements, inflation and geopolitical developments could affect results. Tolebrutinib trials experienced an FDA-related recruitment pause in 2022; amcenestrant development was discontinued.
- Legal and contingent matters: Sanofi disclosed product-liability litigation involving, among other matters, Taxotere, Zantac and Depakine, as well as pricing, marketing, patent, environmental and tax matters. Provisions for product-liability, litigation and other risks were €1.652bn; environmental provisions were €526m. Management cautioned that outcomes are uncertain and may differ from recorded estimates.
- Audit and controls: The auditors issued unqualified opinions on the consolidated financial statements and internal control over financial reporting. The filing identifies impairment estimates, US rebate provisions, litigation provisions and uncertain tax positions as areas requiring significant judgment.
Most important facts for investors to verify
- Review the full IFRS-to-non-IFRS reconciliations, especially the impairment reversal, Libtayo proceeds, restructuring and litigation items, when assessing recurring earnings.
- Check the timing and commercial uptake of ALTUVIIIO and Beyfortus, and whether Dupixent growth and its long-term sales ambition are supported by subsequent results.
- Assess the actual sales impact of Aubagio, Mozobil and other expected generic or biosimilar entries, alongside pricing and reimbursement changes.
- Monitor cash conversion, working capital, capital spending, debt maturities and the use of credit facilities; note that net debt excludes lease liabilities.
- Track developments in Zantac, Depakine, Taxotere and other legal proceedings, and compare potential exposures with recorded provisions.
- Confirm shareholder approval and payment of the proposed €3.56 dividend, and consider that Sanofi’s stated outlook includes strategic ambitions rather than clear consolidated 2023 guidance.
