Sohu.Com Ltd annual report, Q4 FY2021

Sohu.com Limited — FY2021 Form 20-F

Reporting period: Year ended December 31, 2021. This is an annual report, not a standalone Q4 filing; the supplied filing text does not provide a clear set of Q4-only financial results. Financial statements are prepared under U.S. GAAP. Amounts below are in U.S. dollars unless noted.

Business context and material changes

Sohu operates Chinese online media, video and real-estate information services; its wholly owned subsidiary Changyou develops and operates online games. Sohu also consolidates certain PRC variable interest entities (VIEs) through contractual arrangements rather than ownership.

On September 23, 2021, Sohu sold its Sogou shares to Tencent for approximately $1.18 billion in gross cash proceeds and ended its ownership interest. Sogou is reported as discontinued operations; prior periods were retrospectively adjusted. Changyou has been wholly owned since its 2020 merger.

Outlook, risks and unusual items

  • Management described continued migration from PCs to mobile devices and said it would keep investing in mobile products, content, technology, and game development. Changyou plans to improve existing games and broaden its portfolio; the filing does not provide quantified forward guidance.
  • Management cited COVID-19 and macroeconomic conditions as continuing risks to advertiser spending. Sohu Media Portal’s advertiser count fell to 1,117 from 1,947 in 2020, while average spend per advertiser increased.
  • Revenue and cash generation are highly exposed to TLBB PC and Legacy TLBB Mobile. Management warns that PC-game popularity is declining and that these titles may lose users or revenue; mobile games also face short life cycles and revenue-sharing costs.
  • Material structural and regulatory risks include dependence on VIE contracts whose enforceability is uncertain; potential restrictions on moving cash from PRC entities; evolving PRC cybersecurity, data, content, and foreign-investment rules; and renewal uncertainty for expired online publishing licenses held by Gamease and Guanyou Gamespace.
  • Additional risks include tighter limits on minors’ online gaming, content and intellectual-property claims, and U.S. trading restrictions if the PCAOB remains unable to inspect the company’s auditor. The filing notes the auditor was identified in the PCAOB’s inspection determination; it described potential trading prohibition under the then-applicable HFCAA timeline.
  • The filing reports no significant litigation contingencies at year-end, while separately describing pending Changyou merger-related litigation. It also reports a $3.3 million allowance against loans to related-party Fox Financial; Changyou had not applied the related security deposit to repayment as of the filing date.
  • Sohu repurchased 1,129,228 ADSs in December 2021 for approximately $18.7 million under a $100 million, 12-month repurchase authorization. The company said it did not anticipate cash dividends for the foreseeable future.

The independent auditor issued an unqualified opinion on the financial statements and concluded internal control over financial reporting was effective as of December 31, 2021. The goodwill assessment for the brand-advertising reporting unit was identified as a critical audit matter; no goodwill impairment was recorded.

Important facts for investors to verify

  • Reconcile continuing-operations earnings and cash flows with the Sogou disposal gain and discontinued-operation cash flows; assess how much FY2021 net income is repeatable.
  • Track TLBB PC’s revenue concentration, game-user trends, Legacy TLBB Mobile performance, and Changyou’s ability to diversify its game portfolio.
  • Confirm available cash by legal entity and location, restrictions on transfers from PRC subsidiaries and VIEs, and the timing or amount of tax liabilities.
  • Monitor renewal of Changyou’s online publishing licenses, VIE-related legal and regulatory developments, and compliance with new PRC data and cybersecurity requirements.
  • Review the status and potential exposure of the Changyou-related litigation, Fox Financial loan recovery, and ongoing Shanghai Jingmao liquidation proceedings.
  • Verify auditor-inspection and HFCAA developments, as well as subsequent repurchases under the remaining authorization.
