Operating expenses declined 18% to $6.925 million, partially cushioning the steep gross-profit decline. Net interest income was $48,000, versus $66,000 of net interest expense a year earlier. The company recorded a $277,000 income tax benefit, compared with $629,000 of tax expense in Q1 2023.

Revenue mix and material changes

  • Casino and gaming: $5.696 million, down 64.0%; the largest source of the sales decline. Domestic sales fell 72% and international sales fell 42% as customers reduced orders to work through excess inventory.
  • POS automation: $0.651 million, down 63.8%. Prior-year sales were unusually high as the company fulfilled a backlog after earlier supply constraints. TransAct expects 2024 sales to be lower than 2023 as customer inventories normalize and competitors resume shipments.
  • Food service technology: $3.300 million, down 4.6%. Hardware sales fell 21%, partly offset by 3% growth in software, labels and other recurring revenue. BOHA! Terminal and Workstation sales increased 43%, including demand from a large international quick-service restaurant customer.
  • TransAct Services Group: $1.040 million, down 13.6%, mainly due to lower legacy lottery-printer replacement-parts sales; service revenue rose 32%.
  • Hardware unit sales volume fell 62% to approximately 19,000 units; average selling prices were relatively flat overall.

Liquidity, debt and balance sheet

  • Cash and cash equivalents were $10.631 million at March 31, 2024, down $1.690 million from year-end 2023. Current assets were $38.865 million and current liabilities $12.468 million.
  • Inventory increased to $19.171 million from $17.759 million at year-end, while accounts receivable declined to $7.780 million from $9.824 million.
  • Borrowings under the Siena revolving credit facility were $2.250 million; net borrowing capacity was $3.0 million. The facility has a $10 million commitment, is secured by substantially all company assets, and matures March 13, 2025. The company reported compliance with its excess-availability covenant through March 31, 2024.
  • Operating cash use reflected the net loss, a $1.4 million inventory increase and a $1.0 million decrease in accrued and other liabilities, partly offset by a $2.0 million reduction in receivables.
  • Management believes cash, expected operating cash flows and available facility borrowings will fund working capital, capital spending and obligations for at least 12 months after issuance of the statements. It noted this assessment depends on estimates and uncertain market conditions.

Outlook, management commentary and risks

  • Management expects casino and gaming customer inventory-related order weakness to continue during 2024, with improvement anticipated in the second half; renewed competitor supply is contributing to pricing pressure. International casino sales are also expected to remain affected during 2024.
  • Management expects gross margin for the remainder of 2024 in the mid-40% to high-40% range, citing lower expected sales and mix. It expects POS automation and TSG sales to be lower in 2024 than in 2023.
  • A significant food service customer notified TransAct it would end service, including BOHA! subscriptions and label purchases, for its installed base by mid-June 2024. Sales to this customer were approximately $4.0 million in 2023. Management expects new-customer revenue, including the international QSR customer, to largely offset the loss and FST revenue for the rest of 2024 to be relatively consistent with 2023.
  • Cost-reduction actions begun in Q3 2023 were fully reflected in Q1 2024. Management expects approximately $3 million of annualized savings versus 2023, partly offset by normal inflation and cost-of-living increases; further actions may be needed.
  • Other risks include supply-chain disruption, inflation and component costs, customer demand and inventory swings, competition and pricing, dependence on third-party developers and contract manufacturers, foreign-exchange movements, and the ability to grow food service technology. The company engaged an advisor in Q4 2023 to evaluate its long-term strategy.
  • No material pending legal proceedings were disclosed, and the filing reported no material changes to the risk factors in the 2023 Form 10-K. Management concluded disclosure controls were effective at the reasonable-assurance level.

Important facts for investors to verify

  • Whether cost savings, inventory reductions and working-capital management improve operating cash flow while sales are weak.
  • The company’s borrowing availability, covenant compliance and plans for the Siena facility ahead of its March 2025 maturity.
  • Any outcome or strategic changes resulting from the advisor’s long-term business review; the filing provides no specific conclusion or transaction guidance.
