| Metric | Q1 2023 | Q1 2022 |
|---|---|---|
| Revenue | $51.4 | $46.7 |
| Gross profit / margin | $14.1 / 27.5% | $14.0 / 30.1% |
| Operating loss | $(6.5) | $(8.3) |
| Net loss | $(6.7) | $(6.5) |
| Diluted loss per share | $(0.40) | $(0.40) |
| Adjusted EBITDA, non-GAAP | $(2.3) | $(5.7) |
| Operating cash flow | $29.0 | $(13.3) |
Revenue rose $4.8 million, which management attributed to stronger U.S. console-headset market conditions and consumer demand. Gross margin declined 2.6 percentage points, primarily due to promotional spending above historical levels, partly offset by lower freight and logistics costs. Operating expenses fell to $20.6 million from $22.3 million; lower selling and marketing and R&D expenses were partly offset by higher G&A. The smaller tax benefit—$0.1 million versus $2.6 million—helped leave net loss slightly higher despite the improved operating result. Adjusted EBITDA is a non-GAAP measure.
Cash, debt and liquidity
Cash and cash equivalents were $20.6 million at March 31, up from $11.4 million at year-end. Operating cash flow included substantial working-capital inflows, notably from accounts receivable and inventory movements; management cited inventory management and higher gross receipts. Investing cash outflow was $0.9 million, mainly capital investment. Financing cash outflow was $19.0 million, primarily net repayments on the revolving facility.
No revolving-facility balance was outstanding at quarter-end, compared with $19.1 million at December 31, 2022. The amended facility provides up to $80 million, subject to borrowing-base availability, and matures April 1, 2025. Excess borrowing availability was approximately $46.8 million; the company reported compliance with financial covenants. Management believes cash, facility availability and operating cash flows will cover anticipated funding needs, subject to assumptions including no material adverse developments. The filing reports current assets of $118.9 million and current liabilities of $51.9 million.
Changes, outlook and significant matters
- Regional revenue shifted: North America increased to $40.7 million from $31.4 million; Europe and Middle East declined to $9.7 million from $12.1 million; Asia Pacific declined to $1.0 million from $3.2 million.
- Management expects console demand to improve in 2023 as console supply becomes more available, potentially supporting single-digit growth in the overall console market. This is market commentary, not company-specific earnings guidance; the filing provides no clear numerical revenue or earnings guidance.
- Management cites continuing supply-chain and logistics challenges, component lead times, possible excess inventory, inflation and pressure on discretionary consumer spending. The business is seasonal, with a significant share of annual revenue historically generated from September through December.
- The March 10 credit-facility amendment extended maturity to April 2025, revised rate and margin terms, removed the FILO facility and increased the unused commitment fee by 0.125 percentage points. Outstanding borrowing rates reported for the quarter were 10.50% for base-rate loans and 6.50% for LIBOR-rate loans.
- Disclosure controls were deemed ineffective regarding controls over the income tax provision. Management reported a material weakness in the design and implementation of tax-provision controls and review; remediation had not yet been demonstrated through testing.
- Subsequent event: the company announced May 1 that CEO and President Juergen Stark would leave effective June 30, 2023; a separation agreement was entered into May 2.
- Immersion Corporation, which the filing says owns approximately 8.4% of outstanding shares through a subsidiary, intended to nominate three directors. The company also adopted a stockholder rights plan with a general 12% ownership trigger, subject to exceptions. No shares were repurchased in Q1; the repurchase plan was extended for two years.
- Litigation includes an appeal of a judgment in the company’s favor in a shareholder opt-out action and an appeal in an employment case. The company recorded no accrual for contingent litigation losses, stating losses were possible but not probable and any range could not be reasonably estimated. The UK trademark dispute was settled in November 2022.
Key investor verification points
- Assess whether Q1 operating cash generation is repeatable, given the sizable working-capital contribution and seasonal pattern.
- Track gross-margin recovery, promotional intensity, freight costs and inventory levels.
- Confirm borrowing-base availability, facility covenants, amendment pricing and liquidity needs through the holiday period.
- Monitor remediation and testing of income-tax controls, and any effect on future reporting.
- Review the CEO transition, activist campaign and rights plan for effects on governance, strategy and costs.
- Follow the shareholder and employment appeals, as well as uncertain legal exposure and the absence of recorded litigation accruals.
