TERADYNE, INC annual report, FY2015

Teradyne, Inc. — FY2015 Form 10-K

Business context and reporting period. This annual report covers the fiscal year ended December 31, 2015; it is not a standalone Q4 filing. Teradyne supplies semiconductor, wireless, system-test and industrial-automation equipment. Industrial Automation became a reportable segment following the June 2015 acquisition of Universal Robots.

Financial performance and liquidity

  • FY2015 revenue: $1.640 billion, down 0.5% from $1.648 billion in 2014. Product revenue fell 2% to $1.341 billion; service revenue rose 5% to $299.0 million.
  • Profitability: Gross profit was $915.6 million and gross margin 55.8%, versus $878.8 million and 53.3% in 2014. Operating income was $243.0 million (14.8% margin), compared with $96.4 million (5.9%) in 2014. Net income was $206.5 million, or $0.97 diluted EPS, versus $81.3 million, or $0.37, in 2014.
  • Cash flow: Operating cash flow was $412.8 million, down from $492.1 million. Investing activities used $113.7 million, including $282.7 million for Universal Robots; financing activities used $328.7 million, including $300.0 million of share repurchases and $50.7 million of dividends.
  • Liquidity and debt: Cash, cash equivalents and marketable securities totaled $1.008 billion at year-end, down $291 million from 2014. The company reported no debt outstanding and had not drawn on its new $350 million five-year revolving credit facility. About $588 million of cash was held outside the U.S.; repatriation would incur additional taxes.
  • Segments: Semiconductor Test revenue declined 8% to $1.202 billion, primarily on lower system-on-chip volumes. System Test increased 30% to $211.6 million, led by storage testers for cloud applications. Wireless Test was nearly flat at $184.6 million. Industrial Automation contributed $41.9 million from the post-acquisition period and recorded a $7.6 million pretax loss.
  • Quarterly context: Q4 revenue was $318.4 million, versus $323.2 million in Q4 2014 and $466.0 million in Q3 2015. Q4 2015 operating loss was $9.7 million and net loss was $0.6 million. Q4 2014 net loss was $103.8 million, including a $98.9 million Wireless Test goodwill impairment.

Material changes versus prior period

  • Annual revenue was broadly flat, but the mix shifted: Semiconductor Test declined while System Test grew and Universal Robots added a new business line.
  • Gross margin improved 2.5 percentage points, reflecting favorable Semiconductor Test mix and sales of previously leased testers.
  • Net income increased substantially, mainly because 2014 included the $98.9 million goodwill impairment and higher pension actuarial losses. FY2015 still included $17.7 million of pension actuarial losses.
  • Year-end backlog rose to $615.7 million from $395.9 million; total-company Q4 book-to-bill was 1.6. Management cautions that orders may be delayed or canceled, so backlog is not a reliable measure of future sales.

Outlook, commentary and risks

  • Management said it would continue investing in the business, expanding markets and managing costs. The filing provides no specific revenue or earnings guidance. It states that available liquidity should cover dividends, the planned repurchase program and operating needs for at least 12 months.
  • For 2016, Teradyne intended to repurchase $100–$200 million of stock; the Board declared a quarterly dividend of $0.06 per share. Both remain subject to Board discretion.
  • Universal Robots’ contingent consideration was valued at $37.4 million at year-end. Based on 2015 EBITDA, Teradyne expected to pay $15 million in Q1 2016; further payments depend on performance targets, with up to $65 million of total contingent consideration possible under the acquisition terms.
  • Key risks include cyclical customer capital spending, intense competition and pricing pressure, concentration in a few customers (one customer represented 13% of 2015 revenue), international and supply-chain exposure, product-development execution, and the integration and growth of Universal Robots. Wireless Test remains exposed to market contraction, equipment reuse and alternative testing methods.
  • The company disclosed ordinary-course legal claims and said potential losses were not expected to materially affect results, financial position or cash flows. Environmental remediation monitoring was underway at former Massachusetts and New Hampshire sites; no material costs had been incurred as of year-end.

Important facts for investors to verify

  • Whether the elevated Semiconductor Test backlog converts to shipments and revenue, and whether order delays or cancellations affect results.
  • Underlying demand, margins and profitability by segment, especially the recovery or further deterioration of Wireless Test and the economics of Industrial Automation.
  • Universal Robots’ performance against acquisition targets, the expected $15 million payment and remaining contingent consideration exposure.
  • Cash generation after buybacks, dividends and acquisition spending; the location and tax cost of repatriating foreign cash; and the terms and covenant headroom of the undrawn credit facility.
  • The effect of customer concentration, inventory provisions (FY2015 provision: $21.3 million), pension assumptions and tax incentives on future earnings.
