Tandem Diabetes Care, Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Financial statements are unaudited. Tandem develops and sells insulin pumps and related supplies and software. The quarter included the U.S. commercial launch of Tandem Mobi in February.
Financial results and liquidity
| Metric | Q1 2024 | Q1 2023 |
|---|---|---|
| Sales | $191.7 million | $169.4 million |
| Gross profit / margin | $94.7 million / 49% | $82.9 million / 49% |
| Operating loss | $41.7 million | $127.8 million |
| Net loss | $42.7 million | $123.9 million |
| Basic and diluted loss per share | $0.65 | $1.92 |
| Cash used in operating activities | $8.0 million | $18.3 million |
Sales increased 13.2% year over year. U.S. sales declined to $129.8 million from $131.2 million, while sales outside the U.S. grew to $61.9 million from $38.1 million. Worldwide pump shipments were approximately 25,000 versus 23,000: about 15,000 in the U.S. (down from 17,000) and 10,000 outside the U.S. (up from 6,000). Supplies and other sales rose to $105.5 million from $86.7 million. The filing attributes U.S. pump softness partly to customers delaying purchases around the Mobi launch and anticipated product integration; international growth reflects distributor normalization following the European distribution-center transition.
Gross margin was unchanged at 49%. Tandem Choice sales deferrals reduced gross margin by approximately one percentage point in both periods. Excluding that program, management said gross margin was consistent year over year; pricing gains and lower materials costs were offset by higher per-unit overhead during Mobi’s initial production scale-up and product/geographic mix. SG&A was nearly flat at $90.1 million; R&D rose to $46.2 million from $42.2 million. The much lower operating loss primarily reflects the absence of $78.8 million of acquired in-process R&D expense recorded in Q1 2023 for the AMF Medical acquisition.
At March 31, cash and cash equivalents were $59.0 million and short-term investments were $408.8 million, for combined liquidity of $467.8 million. Cash and equivalents increased only $0.1 million during the quarter. Total current assets were $735.2 million and current liabilities $193.0 million. Operating cash use improved year over year; investing cash use was $5.1 million and financing provided $13.6 million, largely reflecting the debt refinancing. Management believes cash, short-term investments and expected operating cash flows will fund ongoing core business activities for at least the next 12 months.
Debt, capital allocation and other balance-sheet items
- In March, Tandem issued $316.25 million principal amount of 1.50% convertible senior notes due 2029, receiving $306.8 million net of issuance costs. It used approximately $246.1 million to repurchase $246.7 million principal amount of its 1.50% notes due 2025, leaving $40.8 million principal outstanding on the 2025 notes.
- Net carrying value of convertible notes was $347.5 million; aggregate principal was $357.0 million. The 2029 notes have an initial conversion price of approximately $34.56 per share. Tandem spent $15.8 million on capped-call transactions intended to reduce potential dilution, subject to a cap.
- Tandem also repurchased and retired 1.11 million common shares for $30.0 million, or $27.105 per share, in a transaction concurrent with the 2029 notes offering. A $1.3 million loss on extinguishment of debt was recognized.
- Accumulated deficit was $994.5 million. Stock-based compensation expense was $22.0 million. Tandem Choice-related deferred revenue was $31.5 million at quarter-end.
Outlook, risks and contingencies
The filing provides no numerical revenue, margin or earnings guidance. Management describes significant quarter-to-quarter variability and historically stronger sales in the second half, particularly Q4, partly due to U.S. insurance deductibles and reimbursement patterns. The Tandem Choice program ended for new eligibility in February 2024, but eligible customers may exercise through December 31, 2024; related deferrals will be recognized upon fulfillment or program expiration. Management expects launch-related costs and per-unit costs may remain elevated until new products reach manufacturing scale.
Key business risks include sustaining customer retention and product acceptance; competition and reimbursement or coverage changes; regulatory clearances and product safety; manufacturing scale, quality and reliance on a limited number of suppliers; international distributor variability and foreign-exchange exposure; and cybersecurity, privacy and connected-device risks. The company has incurred losses since inception and says sustained profitability is uncertain. It maintains a full valuation allowance against net deferred tax assets.
A securities class action alleges misleading statements about sales trends and financial forecasts; the court granted defendants’ motion to dismiss on April 29, 2024, with leave for plaintiffs to amend. Two shareholder derivative actions were also filed in March and April 2024. Tandem intends to defend the claims but says it cannot determine their outcomes or estimate potential losses. The filing reports no other legal matter for which a material loss was considered probable and reasonably estimable. Separately, contingent AMF Medical earnout payments of up to CHF 129.6 million may become payable if specified development and regulatory milestones are achieved; none was recognized as a liability at March 31, 2024.
Tandem reported effective disclosure controls as of quarter-end and no material changes in internal control over financial reporting during the quarter.
