Fees grew with newly activated funds, including TREP IV, TPG IX, Asia VIII and Rise III. Performance allocations fell as portfolio appreciation slowed to 8%, from 38% in 2021; realized performance allocations were $1.410 billion versus $1.956 billion, while unrealized performance allocations were a $689.7 million loss versus a $1.837 billion gain. Fund realizations declined to $15.5 billion from $25.4 billion. Management reported portfolio appreciation despite a 19.4% decline in the S&P 500.

GAAP expenses rose to $1.945 billion, substantially reflecting IPO- and reorganization-related compensation: $627.7 million of equity-based compensation and $416.6 million of performance allocation compensation. These changes, together with fund deconsolidations and allocation of income to non-controlling interests, make headline GAAP earnings comparisons unusually sensitive to structure and accounting presentation. Basic EPS was $1.10 and diluted EPS was $(0.19); investors should review the filing’s EPS reconciliation and two-class method.

At year-end, cash and cash equivalents were $1.107 billion; total liquidity was $1.838 billion, including $700 million available on the revolving facility and $30 million on a subordinated facility. Debt obligations totaled $444.6 million: $199.3 million on the senior unsecured term loan, due December 2024, and $245.3 million of securitized borrowings, due in 2038. The $700 million revolving facility was undrawn and matures in July 2027. Operating cash flow was strong but lower year over year; financing activities used $1.238 billion.

Outlook, risks, contingencies and unusual items

Management stated that current liquidity should cover projected operating expenses, dividends, debt service and other obligations for at least 12 months. It highlighted $43.0 billion of available committed capital and $13.0 billion of AUM subject to future fee growth. The filing provides no specific 2023 revenue or earnings guidance. Management cited fundraising, investment performance, deployment pace, and the appeal of its products as key drivers of future results.

Key risks include volatile performance-based revenue and cash flows; weaker fund returns or fundraising; higher interest rates and tighter financing markets; valuation uncertainty for illiquid investments; talent retention and succession; conflicts of interest; cybersecurity and regulatory exposure; and geopolitical, China, ESG and climate-related risks. Management recorded a $58.3 million net-of-tax clawback reserve based on current fund values; the potential pre-tax clawback would be $1.869 billion if remaining investments were worthless, which management considers remote. Certain fund liquidation activity could trigger clawback payments.

TPG said pending legal matters were not expected to have a material impact on its consolidated financial statements, while noting that outcomes are uncertain. A long-running dispute concerning the former Hellas investment remains active in certain proceedings; TPG considers the claims without merit. In October 2022, the SEC requested documents concerning business-related electronic communications and retention as part of an industry-wide review; TPG is cooperating. The auditor issued an unqualified opinion, identified fair valuation of private fund investments used in performance allocation calculations as a critical audit matter, and management reported effective disclosure controls and internal control over financial reporting.

Important facts for investors to verify

  • Reconcile GAAP loss, income attributable to TPG Inc., and basic versus diluted EPS, considering the IPO, reorganization, non-controlling interests and compensation charges.
  • Assess the durability of FRE growth and management-fee expansion against lower DE, reduced realizations and more variable performance allocations.
  • Review fund valuation assumptions, accrued performance allocations and potential clawback exposure, including the STAR-related reserve and possible 2023 liquidation.
  • Confirm liquidity, debt maturities, revolver availability, capital commitments, and the cash requirements of dividends and the Tax Receivable Agreement.
  • Monitor fundraising, deployment and portfolio performance under elevated interest rates and weaker exit markets, as well as the SEC communications review and pending litigation.
