Service revenue rose 17.6% to $39.9 million, including $2.2 million from acquisitions and 11.2% organic growth. Distribution sales were essentially flat at $20.7 million. Service and Distribution gross margins were 32.5% and 27.7%, respectively; both improved year over year. Operating expenses rose 13.2% to $14.1 million, reflecting acquisitions, technology investment and higher incentive compensation. Interest and other expense increased to $0.9 million from $0.2 million. The effective tax rate was 21.6%, versus 10.9%, partly because the prior-year quarter had a larger discrete share-based compensation tax benefit.

Cash from operations was $7.5 million, compared with $2.0 million, with the improvement mainly attributed to working-capital movements. Investing cash outflow was $5.6 million, including $2.8 million of capital expenditures and $2.9 million for acquisitions. Cash ended the quarter at $2.1 million. Total debt was approximately $48.4 million: $42.5 million outstanding on the revolver and $5.9 million on the term loan. Revolver availability was $37.5 million. The company reported compliance with its debt covenants; its defined leverage ratio was 1.50, against a maximum of 3.00.

Material developments, outlook and risks

  • Management attributed revenue growth to acquisitions, demand in regulated Service markets and rental activity. Gross-margin expansion reflected operating leverage and favorable rental and product mix. Net income declined despite higher operating income because of increased interest expense and taxes.
  • Transcat acquired calibration-services provider TIC-MS for approximately $9.8 million, funded with $2.9 million cash and 77,387 shares. The purchase-price allocation is preliminary; up to $0.5 million may be recoverable if a key customer relationship is not retained through March 2024. TIC-MS contributed $0.9 million revenue and $0.4 million operating income in the quarter.
  • After quarter-end, the company acquired SteriQual for approximately $4.2 million, including $3.3 million in stock and a $0.9 million holdback. The purchase-price allocation was not finalized in this filing.
  • For FY2024, management expects organic Service revenue growth in the high-single-digit to low-double-digit range and gross-margin expansion. It expects a full-year tax rate of 21%–23%; the timing of share-award tax benefits is expected to affect the quarterly rate, with a benefit anticipated in Q2.
  • Risks highlighted include acquisition integration and goodwill or intangible-asset impairment, technician recruitment and retention, service utilization and pricing, supply-chain disruptions, competition, cybersecurity and IT-system risks, foreign-exchange exposure, and interest-rate changes. Revolver rates ranged from 6.4% to 6.9%; a 1% rate change was estimated to affect annual interest expense by about $0.4 million, assuming borrowing levels remain constant. LIBOR was replaced with Daily Simple SOFR effective July 1, 2023.

Important facts for investors to verify

  • Final acquisition valuations, integration performance, and customer-retention or holdback outcomes, including TIC-MS and SteriQual.
  • Quarterly tax-benefit timing and whether working-capital-driven operating cash flow is sustainable.
