Revenue fell mainly because of customer attrition and weaker demand for managed videoconferencing and meeting suites, and lower non-recurring professional services and equipment sales. Network services revenue increased modestly. Six-month operating expenses declined, particularly general and administrative costs; however, cost of revenue rose as a share of revenue to 59% from 57%. For the quarter, it was 57% versus 56%.

Liquidity, debt and cash flow

  • At June 30, cash was $2.101 million, including $185,000 restricted; working capital was $1.395 million. Cash was $2.294 million at December 31, 2013.
  • Six-month investing cash outflow was $1.077 million, primarily for property, equipment and capitalized software. Financing cash outflow was $362,000. Cash decreased $193,000 to $2.101 million.
  • Total debt was $11.082 million: $9.000 million Main Street term loan, $197,000 Main Street revolver and $1.885 million SRS note. Capital lease obligations were another $129,000.
  • Main Street term debt bears 12% interest and revolver borrowings 8%; the SRS note bears 10%. The company reported covenant compliance at June 30. It had $1.803 million available under the revolver and a further $2.000 million term-loan amount subject to lender approval.

Outlook, changes and risks

  • Management expected second-half 2014 revenue to be approximately level with first-half revenue and forecast approximately $2.0 million of 2014 capital expenditures.
  • Management believed available resources and projected cash flows would fund operations and debt service for at least 12 months after filing. This depends on forecasts; the filing cautions that additional capital may not be available on acceptable terms if needed.
  • Glowpoint vacated its Pennsylvania office and recorded a $225,000 lease impairment. In July 2014, it agreed to terminate that lease for $150,000, payable in two installments, releasing future lease obligations. It also entered a new Oxnard, California office lease, expected to commence in October 2014.
  • Goodwill was $9.825 million; management reported no interim impairment indicators, but warned deterioration in market conditions or failure to execute strategy could lead to future impairment. The company also recorded $101,000 impairment of idle property and equipment and $73,000 impairment of capitalized software in the first half.
  • One wholesale partner generated approximately 11% of first-half and quarterly revenue and 12% of receivables. Another customer represented 15% of receivables. The filing warns that losing a major partner could materially harm results.
  • No legal proceedings or material changes to previously reported risk factors were disclosed. Management reported effective disclosure controls and no material change in internal control over financial reporting.
