Q2 sales increased 19.3% year over year; first-half sales rose 15.5%. Management attributed growth to launches of higher-end customer platforms, a newly acquired customer and continued home-automation strength. Q2 gross margin improved, helped by lower raw-material costs and a stronger U.S. dollar versus the Chinese yuan; first-half margin was flat year over year. R&D expense rose 18.2% in Q2 and 15.2% for the half, reflecting product-development investment.
The prior-year comparison is materially affected by the Guangzhou factory sale: Q2 and first-half 2018 included a $37.0 million pretax gain ($32.1 million after tax). No comparable gain occurred in 2019. Excluding this unusual item, the reported net-income comparison is not like-for-like; the filing does not provide adjusted earnings figures.
Cash flow, balance sheet and liquidity
- First-half operating cash flow was $20.2 million, versus cash used of $3.9 million in 2018. Investing used $11.4 million, including $10.1 million of capital expenditure; financing used $12.2 million. Cash declined $3.6 million to $49.6 million from year-end.
- At June 30, 2019, working capital was $98.5 million. Current assets were $388.9 million and current liabilities $290.4 million.
- Line-of-credit borrowings were $95.0 million, with a 4.16% interest rate. The revolving facility was $125 million after June 30, 2019 and expires November 1, 2020; disclosed availability was $32.3 million at June 30 and $27.3 million as of July 1. The company reported covenant compliance.
- Operating lease liabilities totaled $20.6 million following adoption of the new lease standard; adoption did not affect results, cash flows or debt covenants. Total contractual obligations disclosed were $41.5 million, including leases and contingent consideration.
Outlook, commentary and risks
No quantified revenue or earnings guidance is provided. Management expects the move of U.S.-bound production from China to Mexico to be completed in the latter half of 2019. Until completion, U.S. tariffs and transition costs—including freight, duplicate labor and overhead, and manufacturing inefficiencies—are expected to pressure gross margins. The company expects cash, operating cash generation and borrowing resources to cover anticipated cash needs over the next 12 months, while noting that geographically dispersed cash may require additional borrowing or transfers.
Key exposures include customer concentration (Comcast represented 16.2% of Q2 sales; Comcast and Dish together represented 26.3% of first-half sales), tariffs and international operations, foreign-exchange volatility, product-market and customer rollout changes, competition, and execution of the manufacturing transition. Management estimated that a 10% move in specified currencies against the U.S. dollar would change Q2 net income by approximately $10.2 million; a 100-basis-point interest-rate increase was estimated to affect annual net income by about $0.7 million.
Contingencies include patent disputes involving Ruwido/FM Marketing in Europe and the company’s patent-infringement case against Roku in the United States. The European Patent Office revoked a Ruwido utility patent as filed but maintained it in narrower amended form; further court proceedings remained pending. The Roku case was ongoing, with a trial set for June 2020. The company stated it could not estimate potential losses in litigation generally and believed pending matters would not materially affect its financial condition, results or cash flows.
Investor verification priorities
- Whether sales growth and improved Q2 gross margin persist after the Mexico production transition, and whether tariff and transition costs ease as expected.
- Customer concentration, including Comcast-related sales and purchase levels relevant to performance-based warrants, and the durability of growth from the new customer and platform launches.
- Available borrowing capacity, cash location and transfer restrictions, covenant headroom, and refinancing needs before the credit facility expires.
- Developments in the Ruwido/FM Marketing and Roku litigation, including any potential financial exposure.
- Foreign-exchange sensitivity and the effects of currency movements, tariffs and international tax positions on future margins and earnings.
