Wah Fu Education Group Ltd annual report, Q4 FY2024

Wah Fu Education Group Ltd. — FY2024 Form 20-F

Reporting period: Annual report for the fiscal year ended March 31, 2024, filed July 30, 2024. This is not a standalone 2023 fourth-quarter report. Financial amounts below are in U.S. dollars unless stated otherwise; financial statements use U.S. GAAP.

Business context

Wah Fu provides online exam preparation, education platforms and related technology services in China. It operates mainly through PRC subsidiaries and a variable interest entity (VIE). The VIE holds the ICP license and certain assets needed for online operations; Wah Fu consolidates its results under contractual arrangements but does not own its equity. Revenue is predominantly from online education services, principally B2B2C services delivered through institutions.

Revenue fell 32.5%, mainly as online education revenue declined 33.3% to $7.012 million. B2B2C revenue was $6.875 million; B2C revenue was $137,412. Technology development and operation revenue rose 14.7% to $210,768 but remained a small share of sales. Cost of revenue declined only 15.5%, so gross margin contracted by about 12 percentage points. Operating expenses fell 12.1% to $3.231 million, including lower general and administrative costs, but did not offset the revenue and gross-profit declines.

Cash declined by $1.522 million during the year, reflecting operating cash use, investing cash use of $231,440 and a $523,005 adverse foreign-exchange effect. The company reported no outstanding bank loans or third-party loans due as of March 31, 2024. Current assets were $14.673 million and current liabilities $3.924 million. Cash is largely held in China, where currency conversion, cross-border transfers and distributions may be restricted; cash availability outside China is not assured.

Other balance-sheet items to note include $1.779 million due from a related party and $719,198 in net loans to third parties. Net accounts receivable was $1.040 million, including $210,372 aged over 12 months, against a $443,163 allowance. Operating lease obligations totaled $344,913, including $233,569 due within one year.

Material changes, outlook and risks

  • Hunan policy impact: The filing says Hunan announced in November 2023 that, from April 2024, universities would no longer recognize online self-study examination process-assessment scores for newly enrolled students. Wah Fu reported about $1.99 million of FY2024 revenue from Hunan and says it does not expect revenue from this source in Hunan for the foreseeable future. It also reported approximately $4.85 million of FY2024 revenue from self-taught examination platforms overall and warns other provinces could adopt similar policies.
  • Management outlook: Management believes cash and cash flows from current and future operations will meet working-capital needs for at least 12 months. It intends to continue growth plans, focus on online education services and develop platforms and courses. No quantified revenue or earnings guidance is provided. The company also says it expects selling and marketing expense to increase over the next three years as it expands B2C promotion.
  • Related-party exposure: The $1.779 million loan balance is owed by Horwath Capital Consultants Limited, where the chairman serves as a director. The loans are unsecured, bear 1% interest and had a stated maturity of September 30, 2024. Separately, $315,512 is due to shareholders, unsecured, non-interest-bearing and payable on demand.
  • VIE and China risks: VIE contractual arrangements have not been tested in court. Changes in PRC rules or interpretation, enforcement actions, or a finding that the structure or required licenses are noncompliant could materially disrupt operations or the value of the shares. The company says counsel advised that it had required operating licenses and did not then require CSRC or CAC approval for its Nasdaq listing; future requirements remain uncertain.
  • Internal controls: Management concluded disclosure controls and internal control over financial reporting were ineffective at March 31, 2024 due to a material weakness involving SEC-reporting expertise and financial-reporting documentation, along with governance-related deficiencies. Remediation includes hiring and training accounting personnel and improving review procedures. The auditor did not attest to internal-control effectiveness.
  • Audit, contingencies and dividends: YCM CPA Inc. issued an unqualified opinion that the financial statements fairly present the company’s financial position and results under U.S. GAAP. The filing reports no material capital commitments, contingent liabilities, off-balance-sheet arrangements or material legal proceedings. Wah Fu has never paid dividends and does not anticipate doing so.

Important facts for investors to verify

  • Confirm the Hunan policy’s practical scope and timing, the actual revenue lost after April 2024, and whether other provinces have announced comparable changes.
  • Track revenue, enrollments and gross margin—especially B2B2C performance—and assess whether cost reductions can offset the lower course revenue.
  • Review collection and repayment status for the $1.779 million related-party loan, including whether it was repaid at its September 2024 maturity, and assess third-party loan recoverability and receivable aging.
  • Monitor remediation of the material weakness and future SEC filings for evidence that reporting controls have improved.
  • Assess how much cash is practically transferable from China and available to the holding company, given PRC foreign-exchange and dividend restrictions.
  • Reconcile filing inconsistencies: the audited statements report FY2023 consolidated net income of $1.672 million, while the operating review elsewhere cites $1.609 million; FY2024 consolidated loss is $(376,860), while the loss attributable to Wah Fu shareholders is $(55,288). The filing also gives differing descriptions of restricted PRC subsidiary capital and reserves. Verify these figures against the audited statements and notes.
