AZSTARYS royalties and reimbursements contributed $1.2 million of Q1 revenue; French arimoclomol expanded-access sales contributed $2.2 million net of a $1.3 million clawback liability. OLPRUVA sales were de minimis, reflecting limited shipments. Product cost was $0.2 million and acquired-product intangible amortization was $1.5 million, producing an approximate 50% gross margin on reported revenue after those costs.
Research and development expense rose $3.6 million to $12.3 million, mainly from KP1077 study and personnel costs. Selling, general and administrative expense rose $2.7 million to $9.9 million, primarily from personnel, commercial and business-development costs. The $3.6 million of other income included a $3.6 million net favorable fair-value adjustment for warrant and contingent value right liabilities; this non-cash item partly offset the larger operating loss.
At March 31, current assets were $62.9 million and current liabilities were $29.9 million. Reported debt included a $37.9 million line of credit and a $5.1 million secured promissory note. In April 2024, the company obtained a $100 million senior secured loan facility, with $60 million funded at closing, and used proceeds to repay the line of credit and Nantahala note. The remaining $40 million is available subject to specified conditions, including FDA approval for one tranche. The facility bears interest at Term SOFR plus a stated spread, is secured by substantially all company assets, includes minimum net-product-sales covenants, and matures in April 2029.
Material changes, outlook and risks
- Liquidity and going concern: Recurring losses and negative operating cash flows led management to conclude that substantial doubt exists about the company’s ability to continue as a going concern. Separately, management estimated that existing cash, cash equivalents and investments would fund operations into 2026, subject to continued debt-covenant compliance. That estimate excludes potential arimoclomol approval-related revenue and the costs of a KP1077 narcolepsy Phase 3 trial. Management cautions that assumptions may prove incorrect and additional financing may be needed.
- Arimoclomol: The FDA review of the resubmitted NPC application has a September 21, 2024 PDUFA date; the FDA also indicated it intends to hold an advisory committee meeting. Approval, timing and any priority review voucher are uncertain.
- OLPRUVA: The company began its U.S. commercial launch in Q1 and reported reimbursement coverage of approximately 75% of covered lives, up from approximately 55% at acquisition. It had engaged more than 90% of its targeted customers, but reported de minimis sales in the quarter. Execution, distribution and reimbursement remain important uncertainties.
- Pipeline: The KP1077 Phase 2 IH study concluded in March. The filing reports clinically meaningful exploratory improvements, but the study was not powered for statistical significance; the company is evaluating a potential Phase 3 trial. Recruitment restarted in the celiprolol Phase 3 VEDS trial.
- Debt and dilution: The April financing provides liquidity but adds secured debt, interest expense, covenants and repayment obligations. Shares reserved for future issuance totaled approximately 20.6 million at March 31; warrants and awards may dilute existing holders. Merger CVRs could require contingent payments of up to $76 million upon specified milestones.
- Financial controls: Disclosure controls were not effective at March 31. A previously identified material weakness in warrant accounting had resulted in restatements of prior-period financial statements; remediation was still in progress and had not yet been demonstrated effective.
- Other exposures: The company recorded a $13.2 million estimated French EAP reserve liability. It reported no accrual for merger-related stockholder litigation and said it intends to defend the claims. Fair values of warrant and CVR liabilities rely on significant unobservable inputs.
Most important facts for investors to verify
- Whether the April loan’s funded proceeds, remaining availability and covenants support the stated runway into 2026.
- FDA actions and timing for arimoclomol, including the advisory committee and September 21, 2024 target date.
- Whether OLPRUVA shipments, sales and reimbursement coverage improve beyond the limited Q1 sales level.
- KP1077 and celiprolol trial plans, funding needs, enrollment progress and evidence supporting future regulatory filings.
- Progress in remediating the warrant-accounting material weakness and maintaining reliable financial reporting.
- Changes in the French EAP reserve, CVR valuation and potential milestone-related cash obligations.
