Alight, Inc. annual report, FY2023

Alight, Inc. — FY 2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. Although the request references Q4, the filing primarily reports annual results; it does not provide a clear standalone Q4 revenue or net income figure. Amounts below are in U.S. dollars.

Business context

Alight provides human capital management services, including employee benefits administration, health and financial wellbeing, leave management, payroll, and cloud-platform consulting. Employer Solutions generated approximately 87% of FY 2023 revenue and Professional Services 13%. Revenue is primarily recurring, generally contracted for three to five years. Revenue is typically higher in the third and fourth quarters because of benefits-enrollment timing.

Revenue increased 8.9%. Employer Solutions revenue rose 9.0% to $2.963 billion; Professional Services revenue rose 13.5% to $421 million. Adjusted gross profit margin increased to 37.0% from 34.9%. Adjusted EBITDA and adjusted EPS are non-GAAP measures; the company cautions they do not capture, among other items, debt service, taxes, working capital needs, or replacement capital spending.

BPaaS revenue was $756 million, up 34.0%; BPaaS bookings were $747 million, down 14.2%. Cumulative BPaaS bookings since 2021 were nearly $2.2 billion, above the company’s stated $1.5 billion three-year goal.

Financial position and liquidity

  • At year-end, cash and cash equivalents were $358 million, compared with $250 million a year earlier. An additional $1.401 billion of fiduciary cash was held for clients and is not available for corporate use.
  • Total debt, net, was $2.794 billion, versus $2.823 billion in 2022. The company reported approximately $2.5 billion of variable-rate debt exposure and a $300 million revolving facility with no borrowings outstanding; $3 million of letters of credit were issued.
  • Interest expense in the income statement was $131 million, up from $122 million. The debt note reports total debt-instrument interest expense of $219 million, net of swap gains; investors should distinguish this figure from the income-statement amount.
  • The company generated $386 million in operating cash flow. Investing activities used $159 million and financing activities used $231 million.
  • The Tax Receivable Agreement (TRA) liability totaled $795 million, including $62 million current and $733 million long-term. Alight paid $7 million under the TRA in 2023 and expected payments of $62 million in 2024 and $89 million in 2025.
  • The company stated available cash, operating cash flows, and revolver availability should meet foreseeable needs. It made no dividend payments and does not intend to pay cash dividends in the foreseeable future.

Material changes and unusual items

  • Net loss widened substantially, primarily reflecting a $148 million non-cash goodwill impairment in Cloud Services, higher TRA and financial-instrument fair-value losses, and higher SG&A. The impairment was $84 million greater than the $64 million reported in the February 21, 2024 earnings release. The 10-K supersedes that release; full-year loss before tax was $366 million rather than the initially reported $282 million.
  • TRA fair-value remeasurement produced a $118 million loss in 2023, compared with a $41 million gain in 2022. Financial-instrument fair-value changes produced a $10 million loss versus a $38 million gain.
  • Adjusted EBITDA increased to $739 million despite the GAAP operating loss. It includes adjustments for items such as share-based compensation, restructuring, fair-value changes, and impairment; review the reconciliation when assessing the underlying trend.
  • Cash from operations increased $100 million, which management attributed mainly to improved profitability and lower net working-capital requirements.
  • The company repurchased $40 million of shares in 2023; $48 million remained under its $100 million authorization at year-end. It made no repurchases in Q4.
  • The filing reports a two-year transformation program with approximately $140 million of expected pre-tax charges. Alight had incurred $85 million through year-end and estimated annual savings of more than $100 million after completion.

Outlook, commentary, and risks

Management described liquidity as strong and expects the transformation program to reduce costs, but the filing provides no specific FY 2024 revenue or earnings guidance. On February 21, 2024, Alight announced a strategic portfolio review with outside financial advisors; it cautioned that the review may not result in a transaction or other arrangement.

Key risks include client demand and economic conditions, competition and pricing pressure, execution of technology and BPaaS initiatives, cybersecurity and privacy exposures, regulatory change, service-provider dependence, and retention of skilled personnel. Other notable exposures include approximately $818 million of non-cancellable Wipro service obligations through 2028; estimated termination charges were approximately $288 million at year-end. Moody’s affirmed its ratings but changed its outlook to negative in July 2023. Starboard Value notified Alight of its intent to nominate director candidates for the 2024 annual meeting.

Goodwill valuation remains sensitive to assumptions: Health Solutions goodwill fair value exceeded carrying value by only 1.8%, and Professional Services by 0.7% (approximately $1 million). Management stated a 25-basis-point increase in the discount rate or a 50-basis-point decrease in long-term growth could have triggered an $82 million impairment in Health Solutions. The auditor issued unqualified opinions on the financial statements and internal control; a previously reported tax-control material weakness was reported as remediated.

Important facts for investors to verify

  • Review the corrected $148 million impairment and the related Cloud Services portfolio-review assumptions; compare the audited results with the superseded earnings-release figures.
  • Track BPaaS bookings, which declined 14.2% despite revenue growth, and assess whether bookings convert to recurring revenue and margin improvement.
  • Assess debt refinancing, variable-rate exposure, interest costs, and the company’s capacity to meet debt and TRA payments.
  • Monitor delivery of the transformation program’s remaining charges and stated annual savings exceeding $100 million.
  • Evaluate the strategic portfolio review, Starboard’s proposed director nominations, and any resulting changes to business strategy or capital allocation.
  • Consider the sensitivity of goodwill valuations, particularly the narrow valuation cushions disclosed for Health Solutions and Professional Services.
