AMH is a REIT focused on owning, developing, renovating, leasing and managing single-family rental homes. At quarter-end, it held 59,343 homes across 21 states, including 728 classified as held for sale; 3,004 additional homes were held in unconsolidated joint ventures.
Financial and operating performance
- Revenue: Rents and other single-family property revenue rose 6.5% to $423.6 million, primarily from higher rental rates. Same-Home core revenue increased 5.3% to $334.1 million. Same-Home average monthly realized rent was up 5.9% year over year to $2,147, while occupied days declined to 96.2% from 97.2%.
- Profit: Net income decreased 7.0% to $128.1 million. Net income attributable to common shareholders was $109.3 million, or $0.30 per diluted share, versus $117.5 million, or $0.32 per diluted share. Lower property-sale gains were the main factor in the net income decline.
- Margins and supplemental measures: Core NOI increased to $237.7 million from $220.9 million, with a 64.9% margin versus 64.5%. Same-Home Core NOI rose to $219.3 million from $209.0 million; its margin was 65.7% versus 65.9%. Adjusted FFO attributable to common shareholders and unit holders was $166.0 million, compared with $153.5 million. These are non-GAAP measures and should not be treated as substitutes for GAAP earnings or operating cash flow.
- Expenses and interest: Property operating expenses increased 6.0% to $155.9 million, mainly due to property taxes and inflation in repairs, turnover and insurance. General and administrative expense rose to $21.9 million from $17.9 million, partly reflecting higher share-based compensation. Interest expense increased 7.5% to $38.6 million; gross interest cost was $52.8 million, offset by $14.2 million of capitalized interest.
- Cash flow: Operating cash flow was $201.8 million, up slightly from $200.5 million. Investing used $68.1 million, including $209.5 million of development spending, partly offset by $156.1 million of net property-sale proceeds. Financing used $72.2 million, versus $63.3 million provided in Q1 2023, reflecting debt repayment, distributions and other financing activity. Cash, cash equivalents and restricted cash totaled $283.3 million at quarter-end, including $124.8 million unrestricted cash.
- Assets, debt and liquidity: Total assets were $12.76 billion and total liabilities were $5.06 billion. Debt principal was $4.56 billion; balance-sheet debt, net of discounts and financing costs, was $4.50 billion. Material changes and notable events
- The Operating Partnership issued $600 million of 5.50% unsecured notes due 2034, receiving $595.5 million of net proceeds before offering costs. Proceeds were used primarily to repay debt, including the AMH 2014-SFR2 securitization.
- The Company repaid approximately $460.6 million of principal on the 2014-SFR2 securitization. The repayment released 4,516 pledged homes and $10.3 million of lender-restricted cash and generated a $1.0 million early-extinguishment charge.
- Debt principal increased modestly overall to $4.56 billion from $4.52 billion at year-end, while the debt mix changed with the new unsecured notes and securitization payoff. The AMH 2014-SFR3 securitization, with $475.2 million outstanding, matures in December 2024.
- Common distributions declared increased to $0.26 per share for the quarter from $0.22 a year earlier. The Company issued 932,746 shares through its at-the-market program for $33.7 million gross proceeds; $864.3 million remained available. A forward sale agreement covering approximately 3.0 million shares had estimated future net proceeds of $108.6 million, subject to adjustment and settlement terms.
- Home deliveries through the AMH Development Program included 441 homes to the operating portfolio and 28 to joint ventures. The Company said it had strategically scaled back traditional and third-party-builder acquisitions amid housing-market conditions.
Outlook, risks and contingencies
- Outlook: The filing provides no specific full-year financial guidance. Management expects to resume growth in traditional and third-party-builder acquisition channels when housing and capital markets stabilize; development remains a source of portfolio growth.
- Operating risks: Results are sensitive to occupancy, rent levels, tenant turnover and collections, property taxes, insurance and maintenance costs, labor and material inflation, development timelines, access to capital, and local market conditions. Management notes seasonal move-in/move-out patterns and exposure to adverse weather in certain markets.
- Debt and liquidity: The 2014-SFR3 securitization is due in December 2024. Other contractual cash needs include debt service, property operations, distributions, development and purchase commitments. Management cautions that real estate assets are illiquid and may not be a timely source of cash in a shortfall.
- Commitments and legal matters: The Company reported $66.0 million of land purchase commitments and $2.1 million of commitments for nine homes. Sales in escrow covered approximately 192 homes and 168 land lots for $76.1 million; outstanding surety bonds were approximately $220.4 million. The Georgia Attorney General’s Office is investigating customary landlord-tenant matters; the Company is cooperating and discussing a possible resolution. Management believes other incidental proceedings will not materially adversely affect financial position or results.
- Management and subsequent events: CEO David P. Singelyn is retiring effective December 31, 2024 and will provide transition advisory services through June 30, 2025. From April 1 through April 26, 2024, the Company added 221 newly constructed homes for approximately $84.8 million and sold 145 homes for approximately $45.7 million.
