Financial and operating results

Total revenue$602.6 million$597.0 million
Operating income$33.9 million$123.9 million
Net income (loss)$(30.7) million$6.9 million

Revenue increased 0.9%; NOI rose about 1.0%. The GAAP loss followed $82.2 million of impairment charges, chiefly related to properties designated for sale and three Washington-area properties. Operating income also reflected higher depreciation and general and administrative costs. FFO, a non-GAAP measure, increased about 15%; it should not be treated as a substitute for GAAP earnings or cash flow.

Core portfolio occupancy was 93.5% at year-end, compared with 91.4% a year earlier. The same-store retention rate improved to 77.1% from 71.4%; combined new, expansion and renewal rental rates increased 8.8%. The weighted-average lease term was 7.8 years, and leases covering about 7.6% of core portfolio square feet were scheduled to expire in 2016.

Cash, debt and capital

  • Year-end cash and cash equivalents were $56.7 million, down from $257.5 million. Net cash used in investing activities was $166.5 million and net cash used in financing activities was $229.5 million.
  • Debt principal was $2.416 billion at December 31, 2015: $562.7 million mortgage debt and $1.854 billion unsecured debt. The weighted-average interest rate was 4.9%, and reported weighted-average maturity was 7.0 years. The company stated all debt was fixed rate, including debt swapped to fixed.
  • Scheduled 2016 principal and amortization at year-end totaled $249.5 million; 2017 and 2018 totals were $333.7 million and $340.4 million, respectively. Subsequent 2016 debt repayments and asset sales changed the funding picture.
  • The company had no borrowings on its $600 million unsecured revolving facility at year-end and reported compliance with debt covenants. As of February 19, 2016, it reported approximately $1.061 billion of liquidity: $475.6 million in cash and $585.6 million of revolver availability, net of letters of credit.
  • The common distribution remained $0.15 quarterly, or $0.60 for 2015. The company repurchased 5.2 million common shares for $67.3 million at an average $12.90 per share.

Material changes, outlook and notable items

  • Portfolio sales and impairment: 27 property dispositions, including two properties contributed to a venture, and four land sales generated stated aggregate sales prices of $396.9 million. A 58-property Och-Ziff transaction closed February 4, 2016, generating $353.4 million cash proceeds; the company retained a non-controlling venture interest and a property-management role. The sale drove a shift to four core markets and eliminated the Richmond segment.
  • Cira Square: The company sold its interest in the fully leased, 862,692-square-foot property on February 5, 2016 for $354.0 million gross and $350.3 million net proceeds. It had repaid related mortgage debt before closing, incurring $44.5 million of prepayment charges on that debt; the filing also reports a $13.2 million non-cash debt-extinguishment loss.
  • Development: FMC Tower was expected to cost $385 million, with $202.8 million funded by year-end and 61% of office space pre-leased; initial occupancy was anticipated in the third quarter of 2016. Management expected to pursue 2016 revenue growth through improved occupancy and rental rates, but provided no specific numerical earnings or revenue guidance.
  • Contingencies: The company guaranteed certain venture debt and development obligations. Its Subaru headquarters development agreement has a $77.3 million not-to-exceed amount, but the company is responsible for cost overruns above it, with no stated cap on that guarantee. Development projects also face financing, construction, leasing and cost risks.
  • Other risks: Management cited tenant defaults and lease expirations, office-market conditions, interest rates and refinancing, development execution, venture-partner performance, environmental liability, insurance limitations and REIT qualification. The filing reports routine legal proceedings and no expectation of a material adverse outcome.

Most important facts for investors to verify

  • How much of the 2015 GAAP loss was attributable to non-cash impairments, and whether further valuation charges or sale adjustments arise.
  • Actual use of the Och-Ziff and Cira Square proceeds, post-sale debt balances, and refinancing or repayment needs for the 2016–2018 maturities.
  • FMC Tower completion costs, lease-up and residential exposure, along with the status and funding of other development projects.
  • Whether occupancy, rent growth and lease retention continue to improve, especially against the 2016 lease-expiration schedule.
  • Potential exposure under venture guarantees and the uncapped Subaru cost-overrun obligation.
