Liquidity, Debt and Capital Allocation
- Cash, cash equivalents, restricted cash and short-term investments totaled $403.4 million at October 31, 2022, including $358.1 million of cash and cash equivalents and $44.6 million of short-term investments.
- Management stated that available liquidity, finance leases and credit facilities should meet working capital and capital expenditure needs for at least the next 12 months and beyond.
- Debt included $345.0 million principal amount of 0.00% convertible senior notes due January 15, 2026, carried at $338.9 million net, and $30.0 million outstanding under the secured credit facility, which matures July 26, 2024.
- The company was in compliance with all financial covenants at October 31, 2022. The convertible notes were not convertible under the applicable conditions at that date.
- Box repurchased 1.1 million shares for $29.1 million in Q3 and 9.9 million shares for $257.4 million during the first nine months. Approximately $585.9 million had been used under the authorized $610 million repurchase program as of October 31, 2022.
- Series A preferred stock had a carrying amount of $489.4 million and a cumulative dividend rate of 3.0%. Box paid $11.3 million of cash dividends to preferred stockholders during the first nine months and had accrued dividends of $1.3 million at quarter-end.
Material Changes Versus the Prior Comparable Period
- Revenue growth was driven by seat expansion, higher attachment of multi-product Suites offerings, particularly Enterprise Plus, new customers and customer renewals. Net retention improved to 110% from 109%.
- Foreign exchange movements reduced reported revenue growth by approximately 500 basis points in Q3 and 300 basis points for the first nine months. Japan represented 19% of Q3 and nine-month revenue; the United States represented 68% and 67%, respectively.
- Gross margin improved by 240 basis points in Q3 and 270 basis points for the first nine months, despite higher public-cloud infrastructure and subscription software costs.
- General and administrative expense declined 21% in Q3 and 10% for the first nine months, primarily because prior-year shareholder activism and acquisition-related fees did not recur at the same level.
- Research and development expense increased 6% in Q3 and 15% for the first nine months, while sales and marketing expense increased 7% and 13%, respectively, reflecting higher personnel, headcount and commission costs.
- Net income improved to $9.9 million in Q3 from a $13.9 million loss, but nine-month net income attributable to common stockholders remained negative after preferred-stock accretion and dividends.
- Cash used in financing activities increased to $360.2 million for the first nine months, primarily due to share repurchases, employee tax withholding on equity awards, finance-lease payments and preferred-stock dividends.
Guidance, Outlook, Commentary and Risks
- Remaining performance obligations were $1.056 billion at October 31, 2022, up 11% year over year. Box expects to recognize 62% within the next 12 months and substantially all of the remainder within 24 months.
- Management expects continued investment in product development, sales and marketing, international expansion, infrastructure and professional services, while targeting greater operating leverage over time.
- Box expects to release Box Canvas, an integrated virtual whiteboarding product, early in the following year.
- Management reported increased scrutiny of larger customer deals due to inflation, higher interest rates, slower economic growth and other macroeconomic pressures. These conditions may lengthen sales cycles, reduce technology spending and increase pricing pressure.
- Box is migrating from collocated data centers to public-cloud infrastructure. Management expects temporary increases in cost of revenue and lower margins in the first half of fiscal 2024 due to redundant infrastructure costs during the transition.
- Key risks include intense competition, customer churn or reduced expansion, reliance on subscription renewals, foreign currency volatility, cybersecurity and service interruptions, privacy and data-transfer regulation, dependence on third-party hosting providers, talent retention, acquisition integration, intellectual-property claims and the ability to fund future debt and preferred-stock obligations.
- Foreign currency losses were $1.7 million in Q3 and $4.7 million for the first nine months, compared with $0.9 million and $3.4 million, respectively, in the prior-year periods.
- Management concluded that disclosure controls and procedures were effective as of October 31, 2022, with no material change in internal control over financial reporting during the quarter.
