Interest income benefited from higher LIBOR and SOFR rates and prior loan originations, but higher funding costs also increased interest expense to $42.7 million from $16.1 million. The primary earnings pressure was a $39.6 million increase in the current expected credit loss reserve, including $55.0 million of specific reserves, partly offset by a $15.4 million reduction in general reserves.

  • Total assets were $4.60 billion, down from $4.75 billion at December 31, 2022.
  • Loans and preferred equity held for investment, net, were $3.35 billion, down from $3.47 billion.
  • Total equity was $1.35 billion, down from $1.39 billion; accumulated deficit increased to $1.50 billion.
  • Cash and cash equivalents were $313.5 million; cash, cash equivalents and restricted cash totaled $393.5 million.
  • Reported liquidity as of the filing date was approximately $424.0 million, consisting of $259.0 million of cash on hand and $165.0 million of available bank revolver capacity.
  • Total debt carrying value was approximately $3.07 billion, comprising $1.13 billion of securitization bonds, $644.5 million of mortgage and other notes and $1.29 billion of repurchase facilities. Debt-to-equity was 2.0x.
  • Management reported compliance with financial covenants under the bank credit agreement and master repurchase facilities.
  • The loan portfolio comprised 100 loans and preferred equity investments with $3.38 billion of carrying value at the Company’s share, an 8.8% weighted-average all-in unlevered yield and a 3.2 weighted-average risk ranking.
  • Net leased and other real estate totaled approximately $748.3 million at the Company’s share, with 96.7% occupancy and first-quarter NOI of $16.3 million.

Material changes versus Q1 2022 and prior quarter

  • Net income attributable to common stockholders changed from $27.7 million of profit to a $4.1 million loss. The principal driver was the $39.6 million CECL provision versus a $0.9 million CECL benefit in Q1 2022.
  • Net interest income increased despite the loss of $0.9 million of net interest income from retained securitization interests that were sold in 2022.
  • Property operating income declined by $1.6 million year over year, primarily because properties sold in Q1 2022 no longer contributed revenue.
  • Q1 2022 included approximately $10.3 million of gains from real estate sales; Q1 2023 had no real estate sales.
  • Equity in earnings of unconsolidated ventures increased by $9.0 million due to a one-time dispute-resolution payment related to a prior Los Angeles mixed-use project. BrightSpire has no further interest in that investment.
  • The loan portfolio declined due to $101.4 million of repayments and only $16.4 million of originations, acquisitions and additional funding.
  • Compared with December 31, 2022, the CECL reserve increased from $106.2 million to $145.8 million, while net loans declined by $119.7 million.
  • Book value per share declined from $10.77 to $10.41, and undepreciated book value per share declined from $12.06 to $11.74.
  • Q1 2023 financing cash flows used $114.4 million, compared with $169.9 million provided in Q1 2022, reflecting substantial debt repayments and distributions.

Credit, liquidity, outlook and risks

  • Specific CECL reserves of $55.0 million related to a Washington, D.C. office senior loan, a Long Island City office senior loan and a Milpitas development mezzanine loan.
  • Two Long Island City office loans and the Washington, D.C. office loan were risk-ranked 5. The affected properties have low leasing levels or insufficient cash flow to cover debt service.
  • The Washington, D.C. loan was in default, and BrightSpire filed foreclosure proceedings in March 2023. Management expected to take possession by the end of Q2 2023 and was evaluating conversion to multifamily use.
  • In April 2023, the Milpitas development mezzanine loan was restructured into a $30.2 million Mezzanine A Note and a $14.5 million Mezzanine B Note. The B Note was placed on nonaccrual status.
  • After March 31, 2023, the second Long Island City office loan was placed on nonaccrual status.
  • Management identified persistent commercial office-market weakness, elevated vacancy, work-from-home trends, higher interest rates, tighter financing conditions and potential recessionary conditions as significant risks.
  • Rising rates increase interest expense on unhedged floating-rate debt and may impair borrowers’ ability to refinance or service debt. A hypothetical 100-basis-point rate change was estimated to affect annual net interest income by approximately $8.0 million.
  • Repurchase facilities expose the Company to collateral valuation, margin-call, covenant and counterparty risks. No margin calls had been received through May 2, 2023.
  • Unfunded lending commitments totaled $256.3 million, subject to borrower conditions and approval.
  • Management stated that it had sufficient liquidity for material cash commitments over the next 12 months and beyond; however, no formal earnings or dividend guidance was provided.
  • The Company declared and paid a $0.20-per-share quarterly dividend for Q1 2023. In April 2023, the board authorized a new $50.0 million share repurchase program through April 30, 2024; no shares were repurchased during Q1.

Investor verification items

  1. Reconcile the $55.0 million of specific CECL reserves to the carrying values, collateral valuations and expected recoveries of the affected loans.
  2. Monitor outcomes of the Washington, D.C. foreclosure, the Long Island City office assets and the Milpitas mezzanine restructuring.
  3. Assess whether nonaccrual loans and office-market weakness could cause further credit losses or reduce distributable cash flow.
  4. Verify liquidity after considering debt maturities, repurchase-facility borrowing-base requirements, unfunded commitments and potential margin calls.
  5. Evaluate the sustainability of the $0.20-per-share dividend relative to GAAP earnings, cash flow and the Company’s non-GAAP distributable earnings measures.
  6. Review interest-rate sensitivity, hedge coverage, benchmark transitions from LIBOR to SOFR and the impact of higher funding costs.
  7. Distinguish GAAP results from non-GAAP measures: the filing’s reconciliation reports a Q1 2023 Distributable Loss of $11.5 million, or $(0.09) per share, and Adjusted Distributable Earnings of $34.5 million, or $0.27 per share.
