Perspective Therapeutics, Inc. — Q1 2023 Form 10-Q

The reported net loss was reduced by a $10.5 million deferred tax benefit related to the Viewpoint merger; it does not reflect the scale of the operating loss. Cash and cash equivalents plus restricted cash totaled $36.634 million at quarter-end. Investing cash flow of $25.262 million chiefly reflected maturity of short-term Treasury investments and cash acquired in the merger, rather than operating cash generation.
Material changes and business developments
- Viewpoint was acquired for consideration valued at $68.625 million, including 136.5 million Perspective shares, assumed options and warrants, and forgiveness of a $6.171 million note receivable and accrued interest. Shares issued represented approximately 49% of the company’s fully diluted capital stock; 10% of the merger shares were placed in escrow for 12 months.
- The preliminary purchase-price allocation includes $50 million of in-process research and development intangible assets and $27.319 million of goodwill. These values remain provisional and may change during the measurement period.
- Q1 included approximately $4.6 million of merger-related transaction costs in general and administrative expense. The company also recorded $1.368 million of share-based compensation, compared with $0.157 million a year earlier.
- Research and development expense rose to $3.857 million, primarily reflecting Viewpoint’s operations and alpha-therapy development. General and administrative expense rose to $7.023 million, including merger costs and acquired-company expenses.
- Prostate brachytherapy revenue fell 56% year over year to $0.956 million. Other revenue, including other treatment applications and grant revenue, rose 53% to $1.107 million. Viewpoint’s alpha-therapy products remain in development and generated no product sales.
Outlook, risks and contingencies
- Management expects existing cash to cover forecast operating needs through December 31, 2023, including Viewpoint, but expects to require additional capital until profitability. It warns actual cash needs may exceed estimates and that financing could dilute shareholders or require relinquishing rights to assets or programs.
- Management expects higher spending, particularly on Viewpoint research and development, and said company-wide cash-flow break-even is likely not achievable within the next three to four years. The company missed its targeted 25% revenue increase for the first three months of 2023 and gave no assurance of achieving future targeted sales growth.
- Approximately 45% of Q1 revenue depended on three customers, with about 24% from GT Medical Technologies. The former medical director and historically largest customer has placed no orders since isotope supply resumed after a 2022 disruption; management says this continues to materially affect sales.
- Management expects to increase brachytherapy sales staffing from seven to ten territory managers over the next 12 months, but says there is no assurance this will occur. Other brachytherapy treatment revenue may be volatile because it depends on a relatively small group of early-adopting physicians and facility reimbursement decisions.
- The company has Cesium-131 supply agreements with Russian company JSC Isotope extending through March 2024 and March 2025. The filing describes the agreements but does not quantify potential supply or geopolitical exposure.
- A $0.2 million estimated liability for settlement of stockholder claims concerning the 2022 proxy statement remained unchanged at March 31, 2023. The filing reports no material change in other commitments outside the ordinary course.
- Management concluded disclosure controls were effective and reported no material change in internal control over financial reporting during the quarter. No off-balance-sheet arrangements were reported.
