Liquidity, debt and cash flow
- At July 31, cash and cash equivalents were $854.9 million; short- and long-term investments were $295.3 million and $115.4 million. Combined cash and investments totaled $1.266 billion.
- Current assets were $2.150 billion versus current liabilities of $1.103 billion. The current debt portion was $455.5 million, largely reflecting the 0.875% convertible notes due June 2017.
- Debt carrying value included $988.8 million of convertible notes and approximately $492.3 million of term loans. Ciena issued a $250 million 2021 term loan in April; it also had a $250 million ABL facility with no borrowings outstanding and $69.0 million of letters of credit supported by the facility.
- Nine-month operating cash flow declined to $152.8 million from $177.5 million, as $86.6 million was used in working capital, including increased receivables and inventory. Investing activities used $302.7 million, including $81.2 million for equipment and intellectual property and $32.0 million for the TeraXion asset acquisition. Financing activities provided $215.5 million.
- Management said available cash, investments and other liquidity sources were expected to meet working capital, capital expenditure, debt repayment and other requirements for at least the next 12 months.
Material changes and business drivers
- Q3 Networking Platforms revenue increased 12.1% to $540.9 million, led by Converged Packet Optical. Software and Software-Related Services rose 18.7% to $31.6 million; Global Services rose 4.7% to $98.1 million.
- Converged Packet Optical growth included sales from the Cyan-acquired Z-Series platform. Ciena acquired TeraXion high-speed photonics assets for $32 million in February 2016 to support WaveLogic chipset development.
- Optical Transport revenue continued to contract, down 45.0% in Q3; products in this line had been or were expected to be discontinued during FY2016.
- North America and APAC revenue grew year over year in Q3; CALA revenue fell 28.5%. For the nine months, EMEA revenue fell 8.2% and CALA fell 4.8%, while APAC rose 32.0%.
- Q3 gross margin improved to 46.0% from 44.8%, which management attributed to product cost reductions, improved services margin, favorable product mix and a lower sequential inventory-obsolescence provision. Nine-month operating expenses increased 9.5%, including higher R&D and acquisition-related amortization.
Outlook, risks and unusual items
- No specific numerical revenue or earnings guidance is provided in the supplied filing text. Management expected FY2016 operating expense to increase versus FY2015, citing acquired personnel and operations, R&D investment, ERP work and facility transitions.
- Management cited constrained capital spending by some large service-provider customers, competitive pricing pressure, customer concentration, revenue volatility and foreign-exchange exposure. A stronger U.S. dollar reduced nine-month reported revenue by approximately $18 million, or 0.9%.
- Inventory-obsolescence expense was $26.7 million for the first nine months, primarily related to lower forecast demand for certain Converged Packet Optical and Optical Transport products. Inventory net of reserves increased to $221.6 million from $191.2 million at October 31, 2015.
- AT&T represented 15.7% of Q3 revenue and 18.5% of nine-month revenue. The filing identifies dependence on a small number of large customers and suppliers as material risks.
- On August 5, 2016, after quarter-end, Ciena repurchased approximately $205 million principal amount of 2017 convertible notes for approximately $205 million including accrued interest; $245.3 million principal remained afterward. The filing also describes Cyan-related litigation and other legal proceedings; management said it did not expect ordinary-course matters to have a material financial effect.
- Ciena reported effective disclosure controls and no material change in internal control over financial reporting during the quarter. It also disclosed a prior-period cash-flow classification correction for 2015 that management concluded was not material and that did not affect cash-flow subtotals.
