Cash, debt and liquidity
- Cash was $16.6 million at September 30, 2023, compared with $15.4 million at year-end 2022. Current assets were $228.5 million and current liabilities $84.3 million; the reported current ratio was 2.71:1.
- Gross debt was $181.0 million, with $177.9 million reported net of issuance costs; cash-adjusted gross debt was approximately $164.4 million. Debt included $71.0 million drawn on the credit facility and $110.0 million of fixed-rate senior notes. The credit facility had approximately $56 million of available capacity.
- The company retired $75 million of 2011 notes at maturity, using credit-facility capacity, and issued $50 million of notes in June at fixed rates of 7.25% and 7.50%. The 2021 notes carry fixed rates of 4.09% and 4.38%. Nine-month interest expense rose 16% to $9.8 million.
- Management reported compliance with debt covenants. The credit-facility leverage ratio was 1.92 and interest-coverage ratio 6.63; the facility requires at least 3.00 interest coverage and permits maximum leverage of 2.50. The facility is secured and includes cross-default provisions.
- Nine-month capital expenditures were $7.8 million. Free cash flow, defined by the company as operating cash flow less capital expenditures, was negative $2.5 million, versus positive $3.6 million in 2022. Working-capital use increased, including inventory growth; inventories rose to $75.1 million from $60.4 million at year-end.
Changes, outlook and notable items
- Q3 revenue decreased less than 1% year over year and 2% sequentially. Sequential operating income fell 22% to $14.7 million, with lower revenue, Q2-specific gains and Q3 facility-exit costs contributing. Nine-month operating income improved substantially, reflecting revenue growth and stronger utilization.
- Management expected client activity to remain at current levels or increase for the rest of 2023, with a typical seasonal slowdown in U.S. onshore activity and continued growth in international projects. It cited stable-to-higher near-term oil prices, ongoing international project development and growing carbon-capture activity. No numeric earnings or revenue guidance was provided.
- Risks highlighted include oil and gas activity and commodity-price changes, the Russia-Ukraine conflict and sanctions, Middle East disruptions, political unrest delaying product shipments, supply-chain constraints, inflation in materials and shipping, foreign-exchange movements, and interest-rate exposure. U.S. onshore drilling and completion activity weakened in 2023; management attributed this partly to lower natural-gas prices, consolidation and operators prioritizing returns over production growth.
- Unusual items included an approximately $11.6 million noncash tax benefit from redomestication, $1.1 million of nine-month lease-exit costs and asset write-downs, and $0.5 million of ATM-program termination costs. The company terminated its unused $60 million ATM program in July. It paid dividends of $0.01 per share quarterly and declared another $0.01 dividend in November.
- The company disclosed ordinary-course legal claims but no specific material proceeding or quantified contingency in the supplied filing text. It reported no Russia- or Ukraine-related long-lived-asset impairment trigger and said local facilities continued operating without significant local business impact. Disclosure controls were deemed effective; no material internal-control changes were reported.
Investor verification points
- Separate recurring operating performance from the redomestication-related tax benefit and other one-off gains, costs and write-downs.
- Assess whether weak free cash flow, working-capital needs and elevated inventories persist, and whether operating cash flow can support capital spending, dividends and debt service.
- Track Production Enhancement revenue and margins, U.S. onshore activity, product-sale timing and inflationary costs.
- Review debt-facility availability, covenant headroom, variable-rate exposure and the springing-maturity condition tied to the 2021 notes.
- Monitor geopolitical, sanctions, supply-chain, foreign-exchange and customer-capital-spending risks, as well as the timing and economics of international and energy-transition projects.
