CONMED Corporation — Q1 2024 Form 10-Q Summary
Business context and reporting period
CONMED is a global medical technology company providing surgical devices and equipment used in orthopedic, general, gynecologic, thoracic, gastrointestinal and other procedures. Approximately 85% of revenue came from single-use products, and international sales represented approximately 44% of consolidated net sales in both periods.

Orthopedic surgery revenue increased 2.8% to $134.9 million, driven primarily by procedure-specific and BioBrace products. General surgery revenue increased 8.0% to $177.4 million, led by AirSeal and biliary products. Constant-currency sales growth was 5.9%.
Gross margin benefited mainly from favorable product mix. Selling and administrative expense declined to $123.4 million from $130.1 million, reflecting a $10.9 million year-over-year benefit from contingent consideration fair-value adjustments and the absence of approximately $4.3 million of 2023 warehouse-management-system implementation costs. Research and development expense increased to $13.6 million from $12.5 million.
Interest expense declined to $9.6 million from $10.3 million despite a higher weighted-average borrowing rate, primarily because average senior-credit-facility borrowings were lower. The effective tax rate was 22.5%, compared with 25.6% in the prior-year quarter.
Cash and cash equivalents were $33.9 million at March 31, 2024, compared with $24.3 million at December 31, 2023. Capital expenditures were $2.0 million, compared with $4.3 million in the prior-year quarter. Net cash used in financing was $17.0 million, including repayment of the remaining $70.0 million of 2.625% convertible notes and $26.9 million of contingent consideration payments.
Total debt was $990.8 million at March 31, 2024, including $88.0 million drawn on the revolving facility, $114.6 million under the term loan and $786.5 million of 2.250% convertible notes. Revolver availability was $495.4 million, with approximately $1.6 million reserved for letters of credit. The company was in compliance with its debt covenants.
Material changes versus the prior comparable period
- Sales increased 5.7%, with stronger growth in general surgery than orthopedic surgery.
- Gross margin improved 250 basis points, primarily from product mix.
- Operating margin expanded to 11.2% from 4.3%.
- Net income increased substantially, partly reflecting the $6.5 million favorable contingent-consideration fair-value adjustment in 2024 versus a $4.4 million expense in 2023.
- 2023 included $2.1 million of In2Bones inventory step-up amortization, $1.1 million of consulting costs and $1.0 million of severance; 2024 included a $1.4 million write-off related to cancellation of a planned product line and $0.2 million of severance.
- Operating cash flow improved from an outflow of $3.8 million to an inflow of $29.1 million, aided by accounts receivable collection timing and higher accounts payable.
- The remaining $70.0 million of 2.625% convertible notes was repaid in February 2024 using revolver borrowings; the company issued approximately 0.1 million common shares in connection with settlement.
- Shareholders’ equity increased to $854.7 million from $834.2 million at year-end 2023. The company paid a $0.20-per-share dividend and made no repurchases under its $200.0 million authorization during the quarter.
Guidance, outlook, risks and unusual items
The filing does not provide specific quantitative full-year revenue or earnings guidance. Management expects inflationary pressures, higher manufacturing and operating costs, and supply-chain challenges to continue through 2024 and states that these conditions may affect results. Management believes operating cash flow, cash on hand and available revolver capacity will meet foreseeable working-capital, debt-service, capital-expenditure and dividend requirements, while noting that additional cost reductions or debt refinancing may become necessary.
Key risks include regulatory compliance, product liability, intellectual-property and other litigation, cybersecurity and information-technology disruption, foreign-exchange and interest-rate exposure, acquisition integration, competition, supply-chain constraints, availability of ethylene oxide sterilization, allograft-tissue availability and changes in hospital procedure volumes or purchasing patterns.
The company is cooperating with a U.S. Department of Justice review voluntarily disclosed in December 2023 concerning potential issues with certain royalty payments related to design surgeons. The filing states that no loss is currently considered probable or estimable for the described matters, except that reserves have been recorded for the Italian medical-device tax. The company is also involved in Georgia litigation related to alleged ethylene-oxide exposure, insurance-coverage litigation, potential indemnification claims involving a contract sterilizer and other ordinary-course matters.
Contingent consideration liabilities related to the In2Bones and Biorez acquisitions totaled approximately $136.7 million at March 31, 2024. The liabilities are subject to valuation changes based on projected revenues, volatility, discount rates and payment timing. A $6.5 million favorable fair-value adjustment for In2Bones was a significant contributor to the quarter’s expense improvement.
The company expects recently issued accounting standards on income-tax and segment disclosures to affect disclosures rather than the financial statements. The SEC climate-disclosure rule is currently stayed pending judicial review.
