Financial position and cash flow

  • First-half operating cash flow was $771.6, up $279.1 year over year, which management attributed mainly to improved working capital and higher net income. Capital expenditures were $345.7; cash used for investing was $463.5, including $105.0 for acquisitions and investments.
  • Cash was $554.2 at June 30, 2023, compared with $598.6 at year-end 2022. First-half dividends paid were $308.6; cash used for financing activities was $322.2.
  • Total debt was approximately $8.6 billion; net debt was $8.07 billion and net debt/EBITDA was 3.0x, versus 3.2x at December 31, 2022. Short-term debt rose to $1.12 billion from $505.1, principally reflecting current maturities. Long-term debt was $7.50 billion.
  • The company reported no commercial paper outstanding and no borrowings under its $2.0 billion revolving credit facility, which expires in April 2026. Management said it expects operating cash flow to remain strong and believes available borrowing capacity is sufficient for foreseeable needs.

Material changes and segment performance

  • Q2 reported sales increased 8%; organic sales rose 9%, with pricing up 10% and volume down 1%. First-half reported sales increased 8%, while organic sales rose 11% (price +12%, volume −1%). Currency translation reduced reported growth.
  • Q2 reported operating income rose 14%; adjusted organic operating income rose 21%. Adjusted diluted EPS was $1.24, up 13%, compared with reported diluted EPS of $1.15, up 6%.
  • Global Industrial Q2 organic sales grew 9% and operating income at fixed currency rose 18%, supported by pricing and growth in Water and Food & Beverage.
  • Global Institutional & Specialty organic sales grew 13% and operating income at fixed currency rose 40%, with strength in Institutional and Specialty and improved margins from pricing.
  • Global Healthcare & Life Sciences organic sales grew 1%, but operating income at fixed currency fell 41%. Soft near-term life-sciences demand, lower volume, investment and supply-chain costs weighed on results.
  • Other organic sales rose 9%, led by Pest Elimination; operating income at fixed currency rose 23%.
  • Net interest expense increased 39% in both Q2 and the first half, reflecting higher average interest rates. Q2 reported tax rate was 20.6%, versus 19.7% a year earlier.

Outlook, unusual items and risks

  • The filing provides no specific full-year sales or EPS guidance. Management expects a more challenging macroeconomic environment, particularly in Europe, continued though easing delivered-product cost inflation, and high interest rates through 2023.
  • The expanded Combined Program restructuring is expected to incur total pretax charges of $195 (after-tax $150), with completion expected by 2024. Q2 charges were $19.7; cumulative cost savings were $67, with estimated annualized savings of $175 in continuing operations by 2024.
  • Other special charges totaled $29.1 in Q2 and $56.8 in the first half, including restructuring, acquisition integration, Russia/Ukraine-related and legal items. The company limited Russian operations to essential-life businesses; Russia and Ukraine represented about 1% of first-half sales.
  • Nalco faces claims from more than 5,000 plaintiffs arising from the 2019 TPC Group plant explosion. Ecolab says the claims are without merit and expects potential loss to be covered by insurance subject to deductibles, but cannot estimate a loss or range at this stage.
  • The company also identifies ordinary-course litigation and environmental matters, macroeconomic, foreign-exchange, supply-chain, inflation, geopolitical, cyber, tax and execution risks. It reports compliance with debt covenants and pension funding requirements.

Most important facts for investors to verify

  • Whether strong pricing can continue to offset weak or negative volume and delivered-cost pressures, particularly in Healthcare & Life Sciences.
  • Progress toward the Combined Program’s expected $175 annualized savings and $195 total pretax restructuring cost, including timing and cash requirements.
  • Debt maturities: $1.12 billion was classified as short-term/current at June 30, versus $505.1 at year-end 2022; assess refinancing and interest-cost implications.
  • Cash-flow durability after working-capital improvement, elevated capital expenditures, acquisitions and dividend payments.
  • Developments in the TPC Group litigation and environmental contingencies, including insurance coverage and any change in the currently unestimable exposure.
  • Management’s non-GAAP adjusted measures exclude special charges and, for certain measures, discrete tax items; compare them with GAAP results and the filing’s reconciliations.
