Financial performance and liquidity

Net sales$1,023.9 million$578.8 million
Gross profit / margin$724.1 million / 71%$390.4 million / 67%
Operating income / margin$149.7 million / 15%$68.1 million / 12%

Cash and cash equivalents at year-end$108.2 million$120.8 million
Total debt and finance leases at year-end$262.9 million$66.9 million

FY2024 net sales rose 77% year over year: retailer-channel sales increased 69% and e-commerce sales 132%. Management attributed the increase to higher unit volume ($320.4 million of the increase) and higher average item price and mix ($124.7 million). Gross margin improved four percentage points, primarily from foreign-exchange effects, cost savings and mix, lower transportation costs, inventory adjustments and international price increases, partly offset by retailer-activity costs. SG&A was $574.4 million, or 56% of sales, versus $322.3 million, also 56%; marketing and digital spending was $256.0 million for FY2024.

Operating cash flow declined despite higher earnings, reflecting a $123.8 million increase in net working capital, including a $93.9 million inventory increase. Investing cash outflow was $284.7 million, largely for the Naturium acquisition. The company reported $10.5 million of unused revolving-credit capacity and said cash, operating cash flow and available financing should cover planned needs for the next 12 months. Current liabilities were $299.1 million, including $100.3 million of current debt and finance-lease obligations.

Fiscal Q4 comparison

Unaudited Q4 FY2024 net sales were $321.1 million versus $187.4 million in Q4 FY2023; gross profit was $227.2 million versus $129.1 million. Net income was $14.5 million versus $16.2 million, and diluted EPS was $0.25 versus $0.29. Thus, quarterly sales and gross profit increased substantially while net income and diluted EPS declined.

Material changes and significant items

  • On October 4, 2023, the company acquired Naturium for approximately $333.0 million in cash and stock; Naturium contributed $53.4 million of reported sales from acquisition through year-end. The preliminary purchase-price allocation included $168.979 million of goodwill and $162.1 million of acquired intangible assets.
  • The acquisition was funded with a $115.0 million incremental term loan, $89.5 million of revolving-credit borrowings, cash and 577,659 shares valued at $57.8 million. Year-end debt rose to $262.9 million; reported loan interest rates were approximately 6.7% on existing facilities and 6.9% on the incremental term loan. The company was in compliance with financial covenants.
  • FY2024 included a $2.9 million impairment of an equity investment and $3.4 million of acquisition transaction costs in SG&A. The effective income tax rate was 9.5%, compared with 4.0% in FY2023; stock-based compensation benefits materially affected the rate.
  • No dividend was declared or paid. No shares were repurchased during FY2024; $17.1 million remained under the repurchase authorization, subject to credit-agreement conditions.

Outlook, commentary and risks

The filing does not provide quantitative revenue or earnings guidance. Management described continued growth plans centered on brand demand, digital investment, product innovation, retailer expansion and strategic extensions, while cautioning that execution requires investment and historical growth may not continue.

Key risks include intense competition and the need for successful product launches; dependence on Target, Walmart and Ulta Beauty, which represented 25%, 17% and 16% of FY2024 sales, respectively; reliance on third-party suppliers and manufacturing substantially in China; shipping and supply-chain disruption; seasonal and retailer-order volatility; and acquisition integration. Variable-rate debt exposes the company to higher interest expense: a hypothetical 1% rate move would change annualized interest expense by approximately $2.6 million. The company also disclosed regulatory and product-safety, privacy and cybersecurity, foreign-exchange, and economic risks. It reported no known cybersecurity threat that materially affected or was reasonably likely to materially affect the company, and no pending legal matter expected by management to have a material adverse effect.

Management and the auditor reported effective internal control over financial reporting; however, Naturium’s acquired operations, representing approximately 4% of consolidated assets and 5% of revenue, were excluded from the FY2024 control assessment while integration proceeds. The financial-statement audit opinion was unqualified.

Most important facts for investors to verify

  • Whether strong sales growth and gross-margin improvement persist, and what drove the Q4 decline in net income despite higher sales and gross profit.
  • Whether working-capital investment—especially inventory—and cash conversion normalize as growth continues.
  • Naturium’s post-acquisition growth, profitability, integration progress and final purchase-price allocation, which remains preliminary.
  • Debt repayment needs and liquidity: $262.9 million of debt and finance leases, $108.2 million of cash and only $10.5 million of unused revolving capacity at year-end.
  • Exposure to major retailers, China-based sourcing, foreign exchange, and evolving cosmetics regulation, including implementation of MoCRA.
