Cash flow and liquidity: Nine-month operating cash flow was $91.0, versus $32.4 in 2022, reflecting working-capital improvement and higher earnings, partly offset by rental-fleet investment and higher tax payments. Investing used $75.7, including acquisition payments of $55.1 and capital expenditures of $21.4. Financing used $21.2; cash declined $6.5 to $41.0. At September 30, debt and finance-lease obligations totaled $365.9, including $364.2 drawn under the credit agreement. The company reported $424.6 of borrowing availability and compliance with its financial covenants. Current assets were $603.7 and current liabilities $202.6.
Material changes and operating performance
- Sales rose 29% in Q3 and 22% year to date; operating income rose 58% and 41%, respectively. Management attributed growth to higher volumes, acquisitions, pricing actions and increased chassis sales.
- Environmental Solutions drove most of the increase: Q3 sales were $373.0, up 31%, and nine-month sales were $1,064.8, up 23%. Safety and Security Systems sales increased 19% in Q3 and 18% year to date.
- Higher volume, pricing and operating leverage lifted gross margins. Chassis costs and a greater mix of lower-margin chassis sales partly offset the improvement. SEG&A rose with business growth and acquisition-related costs; corporate expenses also increased.
- Interest expense increased $2.4 in Q3 and $9.5 year to date, primarily because of higher average debt and interest rates. The nine-month effective tax rate was 23.2%, versus 21.2%; the prior-year comparison included discrete tax benefits.
- Orders were $450.2 in Q3 and $1,405.1 year to date. Backlog at September 30 was $1,005.8, up 22% from a year earlier.
Outlook, risks and unusual items
- Management expects a full-year effective tax rate of approximately 24%, excluding additional discrete items, and 2023 capital expenditures of $27–$30. It believes cash, operating cash flow and available credit should cover operating, capital and financial needs. The filing provides no specific sales or earnings guidance.
- Trackless and Blasters were acquired in 2023 and added to Environmental Solutions. Their reported post-acquisition contributions through September 30 were sales of $19.6 and operating income of $4.3 for Trackless, and sales of $14.4 and operating income of $1.0 for Blasters. Purchase-price allocations remain provisional; earn-outs are also contingent on future performance.
- Two interest-rate swaps hedge $150 of floating-rate debt in total. The company identifies exposure to interest rates, foreign currency, seasonal demand and operating factors including chassis costs. Its risk factors were reported as unchanged from the 2022 Form 10-K.
- Hearing-loss litigation remains a contingency. The company has accrued an estimated liability under a settlement framework and says any incremental loss is not expected to be material. Other legal outcomes could still adversely affect results, financial condition or cash flow if developments are unfavorable.
- The company filed amended 2015–2018 U.S. tax returns seeking a $13.4 refund claim, including interest, while recording an offsetting increase in unrecognized tax-benefit liability. Management had not yet fully assessed Trackless’ or Blasters’ internal financial-reporting controls; disclosure controls were concluded effective at quarter-end.
