Business context

Fury is a Canadian gold exploration company with no producing mines or operating revenue. Its principal projects at year-end were Eau Claire in Quebec and Committee Bay in Nunavut. It also held a 50.022% interest in the Éléonore South joint venture, which it acquired in full after year-end.

Cash from investing activities was $2,446 and cash from financing activities was $7,624 in 2023; cash declined by $2,996 during the year. Fury reported no long-term debt. Liabilities included a $4,495 site reclamation and closure provision. The company reported a comprehensive loss of $17,219.

Fury’s net loss compares with 2022 earnings principally because 2022 included a $48,390 gain on the sale of Homestake Resources to Dolly Varden. In 2023, Fury recorded a $6,182 equity-method loss from associates, largely reflecting its Dolly Varden investment, and a $655 loss on marketable securities. The carrying value of the Dolly Varden investment was $36,126 at year-end, versus a quoted market value of $51,769.

Projects, resources, and material changes

  • Eau Claire: The 2023 mineral resource estimate reported 853,000 ounces of measured and indicated gold resources (4.294 million tonnes at 6.18 g/t) and 500,000 ounces inferred (2.382 million tonnes at 6.53 g/t). These are mineral resources, not reserves, and have no demonstrated economic viability. The estimate uses assumed cut-off grades and a gold price of US$1,250 per ounce for its resource criteria.
  • Committee Bay: The reported estimate was 524,000 ounces indicated (2.07 million tonnes at 7.85 g/t) and 720,000 ounces inferred (2.93 million tonnes at 7.64 g/t). The estimate relied on the 2017 resource model; no drilling at the project was conducted in 2022 or 2023.
  • 2023 exploration: Fury completed an 18,800-metre drill program at Eau Claire, above its initial plan of 10,000–15,000 metres. Drilling targeted resource expansion at the Hinge zone and exploration at Percival and regional targets. Reported drill intercepts included high-grade gold, but intercepts do not establish economic mineability or true widths.
  • Portfolio changes after year-end: On February 29, 2024, Fury acquired Newmont’s 49.978% interest in Éléonore South for $3,000 and became sole owner. It also acquired 30,392,372 Sirios Resources shares for an additional $1,300. On March 12, 2024, Fury sold 5,450,000 Dolly Varden shares for gross proceeds of $4,006, reducing its stake to 19.99%.
  • At December 31, 2023, Fury had 145,744,795 common shares outstanding. It raised $8,750 gross in March 2023 through a flow-through share offering, issuing 6,076,500 shares.

Outlook, risks, and other notable items

Management said year-end capital resources were expected to support certain planned activities for the next 12 months, including current project plans and short-term commitments. The filing also says working capital had declined by an estimated $2,500 after year-end, in part for corporate costs and the Éléonore South transaction. Management’s planned 2024 exploration activities included approximately $2,000 for regional Eau Claire targets, $1,000 for Eau Claire deposit targets, and $2,000 for Éléonore South. The company cautions that additional financing may be needed for further expansion and is not assured.

Fury expects negative operating cash flow to continue because it has no operating revenue. Key risks include financing availability and potential dilution, exploration failure and uncertain resource estimates, gold-price volatility, inflation and cost overruns, permitting and environmental obligations, extreme weather and remote-site logistics, and maintaining Indigenous and local community support. A Quebec wildfire evacuation order interrupted exploration in 2023; activities restarted in July.

Fury had $1,223 of Quebec flow-through expenditure requirements outstanding at year-end, including approximately $544 of flow-through premium liability; failure to meet qualifying expenditure obligations could result in penalties or indemnification obligations. The filing reports no material litigation and no dividends paid or expected in the foreseeable future. Deloitte issued an unqualified audit opinion on the financial statements. Management concluded disclosure controls and internal control over financial reporting were effective at year-end; the auditor did not provide an ICFR attestation because Fury was a non-accelerated filer.

Important facts for investors to verify

  • Available cash and liquidity after the post-year-end Éléonore South acquisition, share sale, and other cash outflows; confirm the timing and amount of any future financing needs.
  • Whether planned 2024 exploration programs proceed on budget, and what subsequent drilling and the planned resource update show.
  • The assumptions, classification, and technical basis of both projects’ resource estimates; neither project has declared mineral reserves.
  • Completion of flow-through expenditure commitments by required deadlines and any associated penalties or indemnities.
  • The current value, liquidity, and governance implications of Fury’s remaining Dolly Varden and Sirios investments.
